ESSENTIAL SKILLS / QUALIFICATIONS :

• Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) degree.
• Minimum 3-5 years post-qualification experience, preferably within the oil and gas sector with an Operator Company is required.
• Strong knowledge of UAE & Iraq laws and regulations related to the oil and gas industry is essential
• Excellent communication, negotiation, and drafting skills.

JOB PURPOSE :

In-House Legal Counsel shall be responsible for providing overall Legal & Compliance function within the organization and provide support for our International operations.

THE RESPONSIBILITIES WOULD COVER :

• To provide advice, opinion and services in handling from a legal viewpoint all types of agreements with respect to upstream development, joint ventures, joint ventures partners, outside suppliers, customers, agents and contractors and also, lead by providing knowledge and expertise in undertaking general or specific legal matters as specified within Internal Policy or assigned by the management, in accordance with internal Policies and applicable laws and regulations within IRAQ & UAE.
• Lead in the drafting and/or review the preparation, of legal documents and agreements (e.g. Heads of Agreement, Memorandum of Understanding, Term Sheets, JV agreements, investment agreements, Memorandum and Articles of Association, Lease Agreement, Technical Services Agreements, Oil and Gas Services Contracts, Production Sharing Agreements (EPSA, DPSA, PSA), Sale and Purchase Agreements (SPA) etc.) relating to projects in the upstream areas.Draft and/or reviews sale and purchase agreements to safeguard the interest of the company and ensuring compliance with the law.
• Assist in the preparation of board meetings and ensure compliance with corporate policies.
• Assess legal risks and provide recommendations for team including internal & external stakeholders ( operational teams, and other legal professionals).
