Description:
WHAT IT’S ABOUT
For this position, we are looking for an investment fund lawyer for our Milan office focusing on commingled fund structures and separate accounts. The candidate should be a lawyer qualified to practice in Italy and either in Luxembourg or the US. Partners Group’s structuring team is responsible for developing innovative investment fund structures for institutional and private investors globally. Structuring professionals regularly interact with the firm’s client relationship management, investment and operations teams, as well as with clients, external professionals and regulators. Representative projects include, for example, the design, formation and negotiation of customized separate accounts, the establishment of fund vehicles (limited partnerships and other investment funds), the review of regulatory frameworks (AIFMD, MiFID II, etc.), and participation in marketing meetings.
Main responsibilities:
- Efficiently manage complex structuring projects from a legal, regulatory, operational and project management aspect
- Lead the design, formation and negotiation of customized separate accounts for leading international institutional investors
- Lead client conversions for investments in commingled funds (i.e., negotiate terms with client’s counsel, draft side letters, etc.)
- Draft and/or review documentation relating to a variety of fund structures
- Assume responsibility and ownership for select funds and separate accounts, including maintenance and related processes and procedures
- Develop set of skills and general Partners Group know-how, particularly relating to Structuring service catalogue and relevant interfaces with (operational) teams
- Research legal and regulatory considerations relevant to specific clients, products and jurisdictions
- Instruct and manage external legal advisors and other service providers
