Vanguard is seeking an experienced Investment Stewardship Analyst to lead day-to-day company engagements, governance research, and proxy voting activities. This role involves analyzing complex shareholder proposals and developing proxy voting recommendations in alignment with the Vanguard-advised funds’ guidelines. The analyst will cultivate deep expertise in Vanguard’s stewardship philosophy and key governance areas such as board composition, strategy oversight, executive compensation, and shareholder rights.
The Analyst will oversee deliverables including proxy voting decisions and engagement preparation materials, while also reviewing recommendations from other team members. Strong analytical skills are essential for interpreting company disclosures and third-party research to support voting decisions. The role requires proactive communication with internal stakeholders and external partners, presentation of recommendations, and leadership of departmental projects aimed at improving outcomes and operational efficiency. Additionally, the analyst will mentor junior team members and contribute to special initiatives as needed.

QUALIFICATIONS

  • Minimum of three years related work experience.
  • Undergraduate degree or equivalent combination of training and experience. Pursuit of advanced degree (JD, MBA, or other) preferred.
Responsibilities
  • Develops a thorough understanding of Vanguard’s Investment Stewardship philosophy and guidelines as well as an expertise in select corporate governance areas, such as board composition and effectiveness, oversight of strategy and risk, executive compensation, and shareholder rights.
  • Assigns and monitors the completion of deliverables, including developing and reviewing proxy voting decisions for the Vanguard-advised funds’ holdings and preparation of portfolio company engagement materials.
  • Utilizes company disclosures, third-party research, company disclosures, and other available information to analyze complex proposals against the Vanguard-advised funds’ proxy voting guidelines and present relevant recommendations to management.
  • Reviews individual analysis and proxy voting recommendations produced by other crew members for proposals that are routine to moderately complex in nature.
  • Establishes and maintains strong working relationships with business partners and vendors. Proactively communicates with stakeholders and business partners, including presentation of ideas and recommendations.
  • Leads projects within the department and develops ideas for initiatives to improve outcomes, increase operational efficiency, and reduce risk.
  • Mentors and provides feedback to less experienced crew members on application of Vanguard’s voting guidelines, engagement preparation materials or general governance topics.
  • Participates in special projects and performs other duties as assigned.
