Lead - Governance & Company Secretary Are you an experienced Company Secretary looking for a role with genuine visibility and influence? ING Australia is seeking a senior governance professional to support our Board of Directors, Executive Committee and key committees, including Risk, Audit and Remuneration. This is a rare opportunity to work closely with senior leaders in a highly regulated, international banking environment and help strengthen governance practices that matter. You will be a trusted point of connection between directors, executives, senior management and internal teams on corporate governance matters. You will help ensure Australian ING entities meet their statutory, regulatory and governance obligations, including those relevant to corporations and APRA-regulated authorised deposit-taking institutions. If you bring sound judgement, strong relationship skills and the confidence to make an impact, this role offers challenge, senior exposure and the chance to contribute to governance at the heart of the organisation. What you’ll do Provide high-quality company secretarial support to the ING Australia Board, Executive Committee and key committees, including agenda planning, paper coordination, minutes and action tracking. Manage the annual Board and committee calendar, including the master schedule for all relevant meetings. Support Board accountability and reasonable steps processes, partnering closely with the FAR office. Oversee ASIC corporate filings for Australian ING entities. Maintain statutory registers for ING Australia and complete annual corporate governance activities. Maintain corporate governance documentation and support timely, practical business review of key documents. What we’re looking for Significant company secretarial experience in a comparably sized Australian organisation, ideally in financial services or another highly regulated environment. Strong knowledge of the legislative framework applying to corporations, boards and company secretaries. Proven experience developing, implementing and monitoring governance policies, procedures, frameworks and structures. Relevant company secretarial, corporate governance or tertiary qualifications. Experience in a global operating environment, head office setting or dual regulatory environment would be highly regarded. Excellent written and verbal communication skills, with the ability to draft clearly for senior audiences. A proactive, highly organised style, with calm judgement under pressure and the confidence to stay one step ahead. What’s in it for you?
