Welcome to Mandai X. Lead, Legal Commercial and IP Role Overview As Lead, Legal Commercial and IP counsel supporting Mandai X, you will provide legal advice and hands-on support across Mandai X initiatives, ensuring that contracts, partnerships and operational activities are structured appropriately and comply with relevant legal and regulatory requirements. This role requires a commercially minded legal professional who can draft and review contracts efficiently and accurately while exercising sound business judgment in complex industries and operate with a high degree of independence and ownership. Job Duties and Responsibilities Commercial Contracts Draft, review and negotiate a wide range of commercial agreements, including: collaboration agreements, strategic partnership agreements, consultancy agreements, Procurement/ agreements service agreements,and sponsorship agreements. IP – related agreements (eg. Licensing, usage rights, transfer) Ensure contracts are structured clearly, accurately and efficiently while protecting the organisation’s interests. Maintain and improve standard contract templates, including NDAs, service agreements, procurement agreements and employment templates. Legal Advisory & Risk Management • Provide sound and practical legal advice on contractual, operational and commercial matters. • Identify and assess legal and commercial risks, and recommend pragmatic solutions that support business objectives. • Work closely with business units and internal teams to resolve legal issues arising from contracts, strategic partnerships and operational activities. Compliance & Regulatory Matters • Ensure Mandai X activities operate in compliance with relevant laws, regulations and internal policies. • Monitor legal and regulatory developments that may impact the organisation and advise leadership accordingly. • Support implementation of appropriate risk management and compliance practices. Governance & Documentation Support • Provide legal support on corporate documentation and governance matters where required. • Assist with maintaining appropriate legal records and corporate documentation across Mandai X entities including working with external company secretary on compliance with Companies Act and applicable regulations, where needed. • Work closely with MWG Legal to ensure alignment with corporate governance practices. Stakeholder & External Counsel Coordination • Work closely with business units, finance, operations and corporate services teams to support legal matters. • Coordinate with external legal counsel where specialised expertise is required. • Support negotiations and discussions with strategic partners, vendors and stakeholders. Job Requirements Qualifications and Skills Degree in Law from a reputable institution. Qualified to practice law in Singapore (or eligible to be admitted to the Singapore Bar). Strong understanding of corporate and commercial law. Excellent contract drafting and negotiation skills, with strong attention to detail. Strong business acumen with the ability to provide practical, solutions-oriented legal advice. Effective communicator with strong stakeholder management and collaboration skills. Able to manage multiple priorities in a fast-paced, evolving environment. Experience Minimum 8 years of legal experience (private practice and/or in-house). Proven experience in commercial contracts and business transactions. Experience advising on strategic partnerships and operational legal matters. Experience working with cross-functional teams and stakeholders. Exposure to IP, technology or regulated industries is advantageous. Good to Have Experience in tourism, sustainability, conservation, media/IP or digital platforms. Experience in cross-border or multi-stakeholder environments. Experience in dynamic or innovation-driven organisations.
