Description
Beond is seeking a Legal Counsel to support our expansion across the region. This role will lead on corporate set up, governance and entity management for new jurisdictions, and handle day to day legal support across the business. You will report into the Senior Legal Counsel and work closely with senior management. Responsibilities Provide legal advice and support on corporate matters including company law, corporate governance, restructurings, and transactions. Lead the legal set up of new entities across the GCC, working with local counsel where required Manage corporate governance matters and board correspondence, including board packs, resolutions, minutes and statutory filings Maintain shareholder and share documentation, and act as the central point for company secretarial activities across the group Lead the design and implementation of an employee share scheme Review and provide guidance on internal contracts and policies Draft, review and negotiate commercial contracts including vendor, partnership and licensing agreements Manage external legal advisors and coordinate with regulatory authorities across jurisdictions Advise on risk and regulatory compliance Support dispute resolution and manage legal claims as they arise Qualified lawyer with a Law degree and admission to practice in a relevant jurisdiction 3-5 years PQE in corporate legal roles, in-house or from a reputable corporate team at a UAE firm Strong corporate governance and entity management experience, ideally including GCC jurisdictions (UAE mainland, ADGM, DIFC, KSA, Bahrain) Demonstrated experience drafting and negotiating commercial agreements Comfortable working across multiple jurisdictions and managing local counsel Pragmatic, commercial mindset suited to a fast-paced operating environment Strong attention to detail and ability to manage competing priorities Arabic language skills strongly preferred given the regional expansion focus Currently based in the UAE and immediately available Salary: AED 25,000-30,000 per month depending on experience
Responsibilities
