Description
As Legal Counsel at BSM, you will provide high-quality legal advice and support to the business, ensuring that commercial activities comply with applicable laws and internal policies. You will manage a broad range of corporate, commercial, and regulatory matters, draft and review contracts, support dispute resolution, and work closely with stakeholders across the organisation to mitigate legal risk and enable business objectives. Key Responsibilities: Provide timely and pragmatic legal advice to business units on commercial contracts, corporate governance, regulatory compliance, employment matters, and other legal issues. Draft, review and negotiate a wide range of agreements including supplier and customer contracts, service agreements, NDAs, licensing and partnership agreements, ensuring terms protect the company’s interests. Support corporate matters such as company secretarial duties, board and committee papers, maintenance of statutory records, and compliance with corporate governance requirements. Manage regulatory and compliance obligations, liaising with regulators and external advisers where necessary, and implement policies and training to promote legal and regulatory compliance across the business. Identify, assess and manage legal risk; work with stakeholders to develop commercially appropriate risk mitigation strategies. Support and manage disputes, investigations and litigation matters, coordinating with external counsel and internal teams to achieve cost-effective outcomes. Conduct legal research on emerging legal and regulatory issues, and provide clear guidance to business teams. Prepare and deliver concise guidance, standard contract templates, playbooks and training materials to enable consistent legal practice within the company. Collaborate with cross-functional teams (commercial, HR, finance, operations) to support transactions, projects and strategic initiatives. Engage and manage external law firms and advisers, monitoring budgets and ensuring quality and value for money. Qualifications & Experience Qualified solicitor or lawyer admitted to practice in a relevant jurisdiction (or equivalent). Typically 3–7 years’ post-qualification experience in a law firm or in-house legal team, preferably with exposure to commercial contracts and corporate matters. Experience of advising on regulatory and compliance issues desirable. Proven experience in drafting and negotiating commercial agreements and managing external counsel. Degree in Law (LLB) or equivalent; further legal qualifications or professional diplomas are an advantage. Skills & Competencies Excellent drafting, negotiation and analytical skills with strong attention to detail. Practical, commercial approach to legal issues and the ability to balance legal risk with business needs. Strong communication skills, able to explain complex legal matters clearly to non-legal colleagues. Ability to manage multiple priorities, work under pressure and meet deadlines. High levels of integrity, discretion and respect for confidentiality. Proficiency with standard office software and familiarity with contract management or legal tech tools desirable.
