A. PROFILE Role Title: Legal Counsel (Commercial) Reporting to: Chief Legal Officer Division: Legal Department / Section: Legal B. CONTEXT Purpose: To provide strategic and operational legal support on commercial matters, ensuring business decisions are legally sound, risks are effectively managed, and commercial objectives are achieved. Context: Legal Department is responsible for providing legal guidance, support & counselling on all legal and compliance matters to a range of internal customers across the organization to address all legal risks and safeguard the organization's interest in contractual dealings with external parties. It is also responsible for effective management of the organization's relationship with the regulators, government ministries, senior government officials and ensuring legal compliance. Acts as a legal business partner supporting commercial functions, providing non-regulatory legal advice in a fast-paced environment while collaborating with the Contracts Legal team to balance legal risk with business objectives. C. ROLE ACCOUNTABILITIES Legal Advisory & Business Partnering Provide timely, practical legal advice to business units on commercial matters (e.g., partnerships, products, services, campaigns). Interpret legal implications of business strategies and translate legal risks into business terms. Act as a legal business partner to assigned departments (e.g., Sales, Marketing, Technology, Finance). Support decision-making by offering solution-oriented legal options, not just risk identification. Commercial Risk Management Identify, assess, and advise on legal and commercial risks in business initiatives. Develop risk mitigation strategies aligned with company risk appetite. Provide structured legal opinions / risk summaries for management decisions. Support escalation of high-risk matters to CLO/leadership. Legal Review of Business Activities Review and advise on non-contractual commercial materials, including: Marketing campaigns Product terms & conditions Customer communications Promotions and offers Ensure alignment with applicable laws and internal policies. Cross-functional Collaboration Work closely with Contract Legal Counsel on contract-related commercial matters. Partner with Compliance, Risk, Finance, and other teams to ensure holistic legal coverage. Provide legal input in project discussions, product development, and business planning. Legal Knowledge & Capability Building Conduct legal awareness sessions for business teams. Develop guidelines, playbooks, and FAQs for recurring legal topics. Promote proactive legal engagement culture across departments. Issue Resolution & Dispute Prevention Advise on potential disputes and pre-litigation matters from a commercial perspective. Support internal stakeholders in resolving business conflicts with minimal legal exposure. Coordinate with external counsel if required (non-litigation stage). D. KEY PERFORMANCE INDICATORS Provide clear, practical legal advice with high stakeholder satisfaction and minimal escalations. Proactively identify and mitigate commercial legal risks to minimize disputes and business impact. Deliver timely legal support in line with agreed service levels to meet business needs. Ensure all business activities (e.g., products, campaigns) are legally compliant before execution. Enhance legal awareness across teams through training and guidance to reduce recurring issues. E. WORKING RELATIONSHIPS & DECISION MAKING Interacts with: Internal: CEO, CXOs and All departments at all levels, for the purpose of taking instructions and giving advice on commercial related. External: Vendors and customers at all levels, for the purpose of negotiating operational contracts. Decision Making Legal Counsel will make independent decisions on amendments to the U9 precedent contracts as required to meet business needs without exposing U9 to significant legal risks. If business requirements require changes to standard contracts that involve a high degree of legal risks, those changes should be discussed and agreed with the Chief Legal Officer. All legal advice with a potentially significant business impact should be prepared in conjunction with the Chief Legal Officer. F. EXPERIENCE AND QUALIFICATIONS Minimum Experience & Essential Knowledge Minimum 8–12 years of legal experience, with strong exposure to commercial advisory. Experience in corporate/in-house legal environment (telecom or similar industry preferred). Ability to conduct analytical research and prepare conclusions and recommendations report. Proven track record in providing business-focused legal advice and risk mitigation Experience supporting cross-functional stakeholders (Sales, Marketing, Product, etc.) Demonstrated ability to handle complex legal issues and influence business decisions Minimum Entry Qualifications Bachelor's degree in Law (LL.B) is required; Master of Laws (LL.M) or equivalent is preferred. Licensed to practice law (preferred) Strong command of business and legal English
