JOB SUMMARY

Equinix is seeking a Legal Counsel to work in the Global Contracts Legal team. The Global Contracts Legal team is primarily responsible for negotiating and providing legal support for commercial contracts concluded with Equinix’s strategic and enterprise customers and suppliers. This is an EMEA – based role, and part of the EMEA Regional team within Global Contracts Legal team, with the successful candidate primarily responsible for advising the business in alignment with Equinix’s commercial, corporate and strategic objectives, and maintaining an appropriate risk profile for all deals. Located in Madrid, this role has an additional focus on the Spanish market and supporting commercial contracts concluded there in alignment with local laws and customs. In addition to Spanish and other EMEA-related deals, the successful candidate will also be expected to handle global deals from time to time.

QUALIFICATIONS

  • Batchelors degree in Spanish Law, with 3-6 years of legal experience after passing the bar examination, with solid law firm experience preferred.
  • Some in-house experience (either in a full-time role or by way of secondment experience) and experience of working in an international business environment is beneficial. Comfortable with working in a matrix environment.
  • Experience of advising clients on selling services governed by Spanish public procurement regulations and concluding associated commercial contracts with Spanish public sector bodies.
  • Fluent in Spanish and English. You are articulate, with great communication and drafting skills and are highly effective in either language.
  • Adaptable, flexible, pragmatic and solution-oriented, you are curious and willing to learn , and able to work in an agile fashion. You are prepared to work globally in the digital and information age.
  • Exceptional attention to detail, proactive, resourceful, independent, organised, able to prioritise effectively to meet deadlines, address risk, achieve results, effective time management, strong interpersonal skills with a focus on teamwork and an ability to foster/manage relationships across multiple departments.
  • Experienced in using or prepared to use technology tools to efficiently and consistently optimise the full deal lifecycle.

Responsibilities:

  • Drafting, reviewing, and negotiating Customer and Supplier Contracts to ensure contracts appropriately protect Equinix, are approved in accordance with Equinix governance policies and drive revenue growth. Handling Customer and Supplier negotiations thatmay be conducted with counterparts located across EMEA and elsewhere globally.
  • Being responsible for the management of the full deal lifecycle, including communicating status of contract negotiations and ensuring the contracts management system is updated with clear and concise information to support operational excellence. Overseeing development of and approvals for deals, working with other members of the legal team and coordinating with various cross-functional departments (e.g., sales, finance, tax, procurement and insurance) and stakeholders to conclude deals swiftly with appropriate governance.
  • Providing legal advice and responding to queries relating to existing contracts, which may include working closely with and providing strategic guidance to the business, including senior management across the organisation. Providing ancillary advice for Sales and Procurement on various issues including early contract termination, novations, price increases, renewals, amendments, customer rights, disputes, and ensuring changes are properly documented.
  • Identifying opportunities and potential risks to the Equinix business arising from commercial contracts and laws, regulation and policy, and working closely with senior members of the legal team and other internal stakeholders to implement and drive initiatives.
  • Providing commercial support and advice to the wider legal and business team supporting ongoing joint ventures and M&A activity; working with the corporate and real estate legal teams, the products legal team and collating and communicating knowledge among support teams and the broader legal team, as necessary.
  • Functioning as part of the wider global legal team, including engaging with and providing input on any global projects, initiatives, deals, corporate or other commercial transactions as may arise or be assigned.
  • Conducting presentations, training and educating the global Legal team and Equinix business team.
  • Reporting on matters regularly to the Senior Director, Global Contracts, EMEA in accordance within agreed parameters.
