Description
Position Overview: Assist more senior members of the team with the review and negotiation of legal documentation for early to late-stage venture capital and closed-ended fund investments. Coordinate corporate transactions (such as intercompany funding and agreements, dividend distributions, employee share schemes, the audit cycle and LP admissions), including drafting board resolutions, corporate authorisations and other ancillary documents. Assist with corporate restructurings and admissions/removals of partners in certain Squarepoint entities. Assist more senior team members with managing seed deals. Manage the set-up of new entities required for corporate purposes, including drafting constitutional documents and other operative agreements. Assist with project management, including drafting and maintaining transaction management plans, liaising with other internal teams and handling signings/closings. Interacting with local counsels in all jurisdictions to ensure compliance with all ongoing filing and statutory requirements. Coordinate and liaise with external directors and other internal departments, including COO office, finance, compliance, operations, tax and HR. Assist with ad-hoc maintenance matters (audit, tax, KYC requests etc.). There is no typical day for this Legal Counsel. The role’s duties will be varied and will include a mix of corporate governance, M&A and investments work, as well as involvement on ad hoc matters as necessary. The working environment is multi-disciplinary, collaborative and non-hierarchical. The successful candidate will be required to (a) take ownership of matters and (b) work closely with other teams (also located in different jurisdictions) and senior management. The Legal Counsel will report to a more senior member of the legal team. Required Qualifications: ± 2 years PQE (or US equivalent). Previous experience/training in a top-tier transaction firm. Previous experience in a wide range of corporate work and willingness to broaden skill set. Enthusiasm for a variety of legal areas. Excellent attention to detail. Pro-active and ability to think outside-the-box in order to provide solutions. Strong interpersonal, organisational and communication (both written and verbal) skills. Ability to work well with colleagues across multiple regions and time zones. Capacity to prioritise, manage multiple tasks and work within tight deadlines. Willingness to support a growing team based in different jurisdictions on a broad range of matters.
