As our Senior Legal Counsel, you will be co-responsible for all legal and governance affairs across worldwide jurisdictions. You will provide critical support for our global investment activities and overall business operations by advising on strategic and operational legal matters and facilitating business growth through informed decision-making. You will act as a trusted advisor to the Aqua-Spark team, providing expert guidance on complex legal issues that impact our investments and partnerships. Additionally, you will play a key part in maintaining the integrity and reputation of Aqua-Spark by ensuring that all legal and compliance standards are met. You will report to the legal director.

QUALIFICATIONS:

• Master’s degree in law with a focus on corporate and international business law.
• 5-10 years legal experience, including at least three years in a similar role.
• Strong backround in contract law and corporate law
• Experience in drafting and reviewing legal documents in Dutch and English;
• knowledge of Dutch commercial and corporate law is a plus
• Fluency in English, with excellent written and oral communication skills

Preferred Qualifications

• Experience in venture capital or private equity investment legal frameworks is highly desirable
• Familiarity with the global aquaculture industry and Dutch regulatory environment is a plus.

• Provide high-quality legal advice and support on investment transactions, corporate governance matters, regulatory compliance (wft/wwft/SEC/KYC), financial and contractual issues in various jurisdictions around the world;
• Draft, review, and negotiate complex agreements, including shareholder agreements, subscription agreements, convertible loan agreements, NDA’s, and vendor and supplier contracts.
• Oversee legal compliance on Dutch and international regulatory affairs across all Aqua-Spark activities relevant to our global investor base and portfolio companies.
