KNOWLEDGE, SKILLS, AND EXPERIENCE:

  • Active member in good standing with the Law Society of Ontario.
  • 3-5 years of experience as a corporate/commercial lawyer either at a law firm or as in-house counsel.
  • Strong experience with leasing and corporate/commercial contract work.
  • Experience with Canadian healthcare law and privacy laws an asset.
  • Experience with the purchase and sale of a business an asset.
  • Excellent critical thinking skills with an ability to thrive in a fast-paced environment while juggling competing and time-sensitive demands.
  • Excellent written and verbal communication skills, with the ability to interact with internal and external constituents.

Responsibilities

JOB PURPOSE:

Reporting to the General Counsel, Legal Counsel will provide legal support and advice to various business units within the Company and contribute to the company’s legal strategy. This role involves working closely with General Counsel, internal stakeholders and collaborating with external counsel.

PRINCIPAL RESPONSIBILITIES:

  • Provide legal advice and support to business units on a variety of matters, including:
  • commercial leasing: reviewing, drafting, and negotiating leases, offer to leases, subleases, extensions, and amendments.
  • review, negotiate and draft various commercial agreements, including, master service agreements, vendor agreements, procurement agreements, and license agreements across various business functions.
  • regulatory compliance support including privacy law compliance support.
  • implementation of company policies, training, and procedures.
  • Assist General Counsel and collaborate with external counsel with litigation management including gathering documentary and other evidence and acting as a liaison between external counsel and internal employees.
  • Monitor ongoing changes in statutes and regulations with a view to providing legal advice to the business to ensure regulatory compliance.
  • Liaise with and manage relationships with external counsel.
  • Perform administrative functions to support the legal department and ensure efficient document management and tracking.
  • Provide practical and solution-oriented legal advice and guidance to internal stakeholders with a strong commitment to providing timely client service with a quality work product.
  • Manage a diverse caseload.
  • Performing other duties as assigned.
