Bachelor’s degree in commerce and Semi qualified CA/CS/LLB with minimum 3-4 years of relevant experience. 2. Candidate appearing for exams or pursuing the course will not be favoured. 3. Additional exposure to merger and liquidation process will be preferred. Job Descriptions: The Non-Qualified Company Secretary will assist in ensuring statutory compliance for a Private Limited Company and Limited Liability Partnership (LLP). The role involves handling ROC filings, maintaining statutory records, organizing meetings, and ensuring compliance under the Companies Act, 2013 and LLP Act, 2008. Key Responsibilities 1. Compliance Management (Private Limited Company)  Assist in compliance under the Companies Act, 2013.  Prepare and file e-forms with the Registrar of Companies (ROC) via the Ministry of Corporate A􀆯airs (MCA portal).  Draft Board Resolutions and Circular Resolutions.  Assist in conducting: o Board Meetings o Annual General Meetings (AGMs) o Extraordinary General Meetings (EGMs)  Maintain statutory registers (Members, Directors, Charges, etc.).  Ensure timely filing of: o Annual Return (MGT-7/MGT-7A) o Financial Statements (AOC-4)  Support Director KYC and DIN-related compliances. 2. Compliance Management (LLP)  Ensure compliance under the Limited Liability Partnership Act, 2008.  Prepare and file LLP forms such as: o Form 8 (Statement of Account & Solvency) o Form 11 (Annual Return)  Maintain LLP agreement and assist in amendments.  Handle partner-related filings (admission, resignation, changes).  Maintain records of contributions and profit-sharing ratios. 3. Documentation & Record Keeping  Maintain statutory records and registers (physical and digital).  Draft notices, agendas, and minutes of meetings.  Prepare compliance reports for Directors/Partners.  Maintain compliance calendar and track due dates. 4. Liaison & Coordination  Coordinate with: o Chartered Accountants o Auditors o Legal advisors o Regulatory authorities  Assist in due diligence processes.  Support incorporation, alteration of MOA/AOA, or LLP agreement amendments. 5. Other Responsibilities  Monitor updates in corporate and LLP laws.  Assist in share transfers, allotments, and capital changes (for Pvt Ltd).  Support closure, strike-o􀆯, or restructuring procedures if required.  Ensure proper maintenance of secretarial records for audit purposes.  Basic understanding of the financial statements  Reconciliations of accounting ledgers in case of needs.  Preparation of Related party schedules for audit purposes.  Other support on need basis to the legal entity controller.
