ESSENTIAL EXPERIENCE, SKILLS AND KNOWLEDGE:

  • A Bachelor’s Degree in Law or an equivalent qualification.
  • Minimum 8 years of relevant legal experience, ideally in a commercial in-house setting.
  • Experience in the shipping, maritime, commodities, or infrastructure sectors is a plus.
  • Strong drafting and analytical abilities, with excellent attention to detail.
  • Outstanding communication, stakeholder management, and multitasking capabilities.
  • Ability to work independently and as part of a team with excellent time management and organizational skills.
  • Ability to prioritize tasks, manage competing demands, and adapt in a fast-paced, changing environment.
Responsibilities

ESSENTIAL DUTIES AND RESPONSIBILITIES

We are looking for a self-driven and detail-oriented Legal Head , to support the legal and commercial operations of a diversified business involved in marine and shipping sectors. The role provides an exciting opportunity to work on a wide spectrum of commercial contracts, legal advisory work, and compliance matters across regional operations.
The successful candidate will be responsible for providing sound legal advice while working closely with internal stakeholders and external counsel, ensuring legal integrity across the Groups projects and business ventures. Experience in the commodities, maritime, or infrastructure sectors is highly preferred.

KEY RESPONSIBILITIES:

  • Draft, review, and negotiate a variety of commercial contracts, such as NDAs, vendor/supplier agreements, service agreements, license agreements, and more, while conducting legal research to ensure adherence to relevant laws and regulations.
  • Provide corporate advisory services for strategic investments and cross-border mergers and acquisitions (M&A), including drafting, reviewing, and negotiating term sheets, Share Purchase Agreements (SPAs), Shareholders’ Agreements (SHAs), Joint Venture Agreements (JVAs), and other related documents.
  • Deliver practical legal and business solutions to various departments, ensuring that projects are executed with thorough legal and compliance risk evaluations through due diligence, in collaboration with internal stakeholders and external legal advisors.
  • Work closely with business units to offer guidance on deal structuring, regulatory concerns, risk management, and legal strategies, while offering constructive challenges to assess the feasibility of proposed projects.
  • Support the compliance team in identifying and mitigating compliance risks, including developing policies, leading compliance training, and assisting in investigations.
  • Assist in corporate governance tasks, including managing company records, overseeing contract management, supporting corporate secretarial functions, and handling regulatory filings.
  • Foster and manage relationships with business units and external counsel regarding legal and compliance matters, particularly in cross-border transactions and regulatory issues.
  • Provide assistance with special projects or other compliance/risk management initiatives as necessary.
  • Draft board and shareholder resolutions and maintain minutes for key meetings.
  • Maintain an internal contract database and ensure accurate legal document record-keeping.
  • Serve as a cross-functional coordinator to align legal requirements with operational processes.
  • Undertake any other ad hoc duties as assigned by management.
