Description

Boston Metal is at the forefront of innovative extractive metallurgy technology, aiming to revolutionize primary metals production by reducing costs and minimizing environmental impact. As a dynamic startup, we seek a highly organized, detail-oriented, and tech-savvy Legal Manager to join our team.
The ideal candidate will be able to grow with the business taking on tasks with varying complexity and increasing responsibility. A high level of competence, integrity, discretion, and professionalism is key. This position will report to the Legal Director.

REQUIREMENTS

Bachelors/Masters in Legal from an accredited school with 8+yrs relevant legal experience; or equivalent combination of education/experience.

  • Experience in workflow automation tools, particularly implementing contracts lifecycle management (CLM) solutions, would be an advantage.
  • Detailed planning and organizational skills to manage multiple projects concurrently.
  • Ability to work independently, in a fast-paced environment.
  • Strong communication and presentation skills.
  • Strong collaboration skills, with the skill to build relationships within a team, across departments, and with external stakeholders.
  • Ability to identify opportunities, define requirements and implement process improvement.
  • Attention to detail with excellent time management/prioritization skills.
  • Strong proficiency in Microsoft Office, including Excel, PowerPoint, Outlook, and Word.
Responsibilities
  • Develop and implement a comprehensive legal strategy aligned with the organization’s goals, objectives, and values.
  • Represent the organization on legal matters as assigned.
  • Provide legal guidance and advice on various legal issues, including real estate, insurance, environmental, commercial issues, tax, contracts, employment, intellectual property, regulatory compliance, and corporate governance.
  • Draft, review, and negotiate various legal documents such as contracts, agreements, and corporate policies.
  • Advise on corporate governance matters, ensuring the company adheres to legal requirements and best practices.
  • Assist on shareholder relations, and compliance with corporate bylaws and investor’s obligations.
  • Monitor and ensure compliance with applicable laws and regulations affecting the company’s business operations.
  • Oversee and manage the lifecycle of contracts, from negotiation and drafting to execution, enforcement, and renewals.
  • Oversee the maintenance of Boston Metal legal records.
  • Partner with internal and external stakeholders to meet business objectives and ensure compliance with laws and regulations.
  • Collaborate with litigation attorneys when legal disputes arise, supporting investigations, research, and preparation of legal strategies.
  • Identify legal risks and propose strategies to mitigate them.
  • Provide risk assessments to senior management and help develop risk management strategies.
  • Assist in mergers and acquisitions (M&A) transactions when applicable, joint ventures, and other corporate transactions by conducting due diligence, drafting transactional documents, and advising on legal aspects of the deals.
  • Stay abreast of changes in laws and regulations relevant to the industry and provide updates and recommendations to ensure the company’s legal compliance.
  • Manage outside counsel as necessary.
  • Requires a law degree and substantial legal practice in the US. Career-level professional within field.
  • Considered highly skilled and proficient in discipline, proactive, communicative, resilient, detail-oriented, deadline-driven and organized.
  • Conducts complex, important work under minimal supervision with wide latitude for independent judgment.
  • First-level manager. Responsible for putting in place necessary processes and controls involving legal risks and building the team, whenever applicable (hiring, firing, performance appraisals, and pay reviews).
  • Broad knowledge of the field with demonstrated leadership skills. Requires a bachelor’s degree (or international equivalent) and 5+ years of relevant experience in the US.
