We are seeking a Manager, Legal to support the Head of Legal in delivering timely and effective legal services to our Australian operations, aligned with the standards and expectations of our Regional Legal Team. In this role, you will work with a degree of autonomy across key responsibilities, while ensuring regular updates and escalation of significant matters to the Head of Legal. You will also collaborate with the Regional Legal Team on legal matters related to overseas projects from time to time. While these international matters may be less frequent, they will be treated with the same level of priority and professionalism as domestic legal work. This role is offered as a fixed-term contract for a period of two years. Key Responsibilities Manage the negotiation of bankable Project Documents (PPA, EPC, O&M, TCA, Land Lease / Purchase, FIRB approvals ahead of Financial Close for Australian projects. Manage various tasks relating to the achievement of Financial Close for Australian Projects, including instructing external counsel and advising/assisting the Investment Team in the lead up to and completion of Financial Close. Manage the delivery of contractual and regulatory advice to the business on various issues from time to time on Australian projects which are in construction or which have commenced operations. Manage external counsel to assist with 1., 2., and 3. above, including running RFPs, obtaining quotes, negotiating assumptions, managing budgets, WIP and bills (including negotiating write offs) and selecting external counsel, all in consultation with the Head, Legal. Manage legal due diligence on Australian M&A opportunities, including advising on high-level due diligence, managing external counsel on detailed diligence and advising the business on legal risk and, where relevant, SPAs, JVs and SHAs etc, including governance issues, all in consultation with the Head, Legal and, where appropriate, the Chief Legal & Compliance Officer. Manage legal work to assist the Regional Legal Team from time to time in accordance with overseas business requirements and timeframes. Manage the execution of ‘flow legal work’, such as NDAs, CSAs, TOBs etc, in a timely manner and in accordance with Regional Legal Team requirements. Manage the enquiries of and provide assistance to the Regional Compliance Team, including ensuring the business completes ‘Relevant Counterparty’ screening and standard compliance provisions (ABC, Modern Slavery) are included in legal contracts, where appropriate. Prerequisites Bachelor of Laws. Minimum 7 years post-qualification experience in the renewables and/or infrastructure sector. Strong management skills in contract drafting and negotiations, legal due diligence, and regulatory advice, including the ability to independently manage external counsel. Ability to collaborate effectively with professionals from diverse backgrounds, including engineers, construction managers, land and approvals managers, accountants, and finance professionals. Openness and willingness to learn. Willingness to develop non-legal skills. A developing business ‘edge’—confidence to push back or say ‘no’ in commercial settings, and the ability to identify and call out compliance issues early. Good to have Bachelor of Business, Commerce or Economics or Arts. 10 years Post Qualification Experience in renewables and/or infrastructure sector. Some financial literacy to a level required to understand basic project economics in a private equity environment (e.g. hurdle rates, rates of return, base case and sensitivity proposals).
