Responsibilities
  • Annual General Meeting (AGM) Management: Lead the coordination and execution of the annual AGM, including managing materials and cooperating with internal and external stakeholders
  • Board meeting management: Board meeting material management and distribution
  • Corporate Governance: Update and maintain Corporate Governance sections on web and internal pages, prepare the Corporate Governance Statement
  • Insider Administration (MAR): Follow relevant regulations, update internal guidelines, maintain insider registers, handle notifications of transactions by persons discharging managerial responsibilities (MAR Persons), and send reminders regarding closed trading windows
  • Subsidiary Management: Assist with the management of subsidiaries, with a particular focus on related party registers, preparing and maintaining minutes of AGMs and Board of Directors meetings
  • Legal Case Management: Maintaining legal case register and reporting
  • Trade Register Matters: Manage trade register filings and related matters for the parent company and Finnish subsidiaries, including the notarization of documents
  • Contract Management: Provide assistance in the maintenance of global contract templates, archiving contracts and support the use and development of the contract management system
  • Cross-Functional Assistance: Provide general legal assistance to the Group Legal, Treasury, and Investor Relations functions on cross-functional tasks.
  • Process Improvement: Contribute to the development of tools and processes within the legal department
  • Stakeholder cooperation: Working with Hiab Leadership team, Finance, IR, Communications and other group functions, external institutions and stakeholders to support business goals.
