In this role that you are about to embark on, you are required to carry out the following responsibilities: • Draft and, where required, translate, correspondence, legal contracts, letters of agreement, and other legal documents. • Provide translation and interpreter services at meetings, negotiations and other legal proceedings. • Perform simple legal research to assist the legal team to prepare accurate and timely reports, legal advice, case files, and other legal documents. • Organize and oversee legal files and materials so that they are easily accessed and retrieved without compromising the confidentiality or privacy of the information they contain. This include upload of executed documents and data entry of banking information into in-house document management portal. • Maintaining catalogue of banking documents – sort by per company, per facility. • Monitoring Legal Mailbox on a daily basis, alert BG Legal or Head, Corporate Legal if emails are not attended to, on a timely basis. • Monitoring new application and expiry/renewal of product and corporate trademarks. • To liaise with External Counsel on Power of Attorneys required, declaration of use, etc) • Review of trademark watch and patent watch queries raised by External Counsel, and their recommendation on whether to oppose; should BG Legal’s decision taken to oppose, to liaise with marketing and sales teams to collate marketing materials, sales figures, etc; • Prepare cease & desist letters; circulate to relevant stakeholders for comments. • Responsible for preparation of 1st draft, monitoring and administration of Corporate Legal standard template agreements such as NDA/Confidentiality Undertaking, Pulp Supply Agreement, Inter-co Management/Services Agreements, Inter-co Fee Agreements, Interest rate variation agreements, Barging agreements, etc. • On annual basis, a number of agreements are required to be prepared, numbers to be agreed and finally signed off between Tax, Accounts, Legal and Management. There are many such agreements within respective BG and its various subsidiaries, as well as with RGE related entities. • Task is to generate the standard drafts, circulate to various stakeholders for comments, check with BG Legal on proposed amendments, arrange for checklist approval and circulate and monitor for signature/approval.
