If you are talented in providing unprecedented service, are enthusiastic and a team player, we are looking for you.  We are currently looking for a Securities Law Clerk to fill a vacancy in our Corporate Services Group and invite you to review the job description.  Our aim is to find a candidate with specialized knowledge within the securities realm but broad enough corporate background to provide support in corporate services as time allows. Duties & Responsibilities  Securities * Prepare and organize securities offering and related corporate documents, including private placement documents, offering memoranda, prospectuses, annual information forms (AIFs), proxy materials, press releases and related SEDAR+ filings; * Demonstrate familiarity with the processes and regulatory requirements associated with annual general meetings (AGM), private placements, initial public officers (IPO's), stock option grants, and various other filings with the TSX and TSXV; * Support entity acquisitions and divestitures by coordinating, compiling and analyzing due diligence materials; * Prepare and review schedules to definitive agreements; * Draft preliminary documents using firm precedents and client-provided information; * Review and interpret financial statements in support of corporate and securities matters; * Prepare and file exempt distribution reports; * Prepare and file forms related to capital markets participation fees; and * Perform other corporate and securities law duties as required. Corporate Services * Support the coordination of the day-to-day responsibilities of the Corporate Services Team; * Ensure Corporate Services procedures and best practices are effectively communicated and consistently followed; * Maintain comprehensive knowledge of client files and liaise directly with clients to ensure timely completion of required filings (both in Ontario, federal and extra provincially) in compliance with the under the Corporations Information Act (Ontario) and other Ontario and applicable federal legislation are attended to; * Coordinate and manage the incorporation and organization of Ontario and Federal corporation; * Draft corporate authorizing resolutions and related documentation for routine corporate matters as well as continuances, amalgamations, dissolutions and winding-up; * Support corporate lawyers in preparing required resolutions and documentation in connection with asset and share purchases and divestitures and corporate reorganizations; and * Perform additional duties and responsibilities as assigned. Knowledge, Qualities & Experience Required * Graduate of a Law Clerk Program with securities and corporate commercial experience - minimum of 5 years in securities; * Advanced computer skills including Microsoft Office, Excel, ALF and iTimekeep; * Must be capable of interpreting instructions, preparing required documentation and correspondence and generally following files through to completion; * Excellent communication (verbal and written) and interpersonal skills required for effective communication with clients, lawyers, and other staff members; * Prioritize and handle multiple tasks in a demanding work environment; * Capable of working independently; and * Accurate and detail-oriented.
