About the role The Senior Commercial Manager is a critical senior-level position representing UGL Operations & Maintenance business unit for all programs, the key sponsor in consortium development and delivery of a large-scale Public-Private Partnerships (PPP). Representing UGL Utilities O&M, the Senior Commercial Manager will oversee all commercial and contractual aspects of these structures, ensuring alignment with sponsor objectives, stakeholder commitments, and project agreements for the business unit. This role is integral to managing complex commercial position and risks along with joint ventures structures/ partnership models or delivery vehicles. The position requires a strategic leader with expertise in large infrastructure projects, collaborative ventures, and risk management in dynamic environments. We are flexible for this role to be located in Sydney, Melbourne or Brisbane. Key responsibilities Reporting to the General Manager, this role will manage a small team and be responsible for: Commercial Management Develop and implement commercial strategies for both project consortia and venture structures to ensure financial sustainability and UGL/CIMIC value maximisation. Lead the evaluation and mitigation of commercial risks across project consortia and venture structures while ensuring adherence to UGL/CIMC governance requirements and contractual commitments. Collaborate with external and internal teams to meet both short-term financial objectives and long-term sustainability goals within SPVs and ventures. Contract Negotiation and Management Input into, review, negotiate, and manage all project agreements, including PPP project agreement, SPV agreements, shareholder agreements, concession agreements, EPC and O&M contracts, and funding documents for equity or debt arrangements. Develop and maintain strong relationships with consortium partners to manage alignment with joint objectives around funding, deliverables, and risk management. Input and negotiation on agreements involving UGL O&M including procurement, OEM subcontracts, land use, lease structures, shared services, or operational contracts associated with the project. Proactively manage claims, variations, and disputes, ensuring compliance with contractual terms and minimising risks and financial exposure. Venture Partnership and Stakeholder Coordination Develop and manage relationships within venture structures, including joint venture board representation and collaboration with co-sponsors. Provide commercial leadership on behalf of the sponsor while optimising shared objectives in venture partnerships or similar governance models. Represent the sponsor's commercial interests in strategic decision-making forums in SPVs and ventures. Serve as key UGL O&M commercial interface between the sponsor, SPV, venture partners, stakeholders, contractors, and external advisory teams. Risk and Performance Management Define and maintain risk management frameworks specific to the project and joint venture arrangements, with a focus on ensuring compliance with UGL/CIMIC requirements. Monitor, assess, and respond to changes in project conditions, regulatory frameworks, or venture-specific market factors that may impact commercial outcomes. Support the development of key performance indicators (KPIs) and dashboards to track performance across SPVs and ventures and report these findings to relevant boards and sponsor organisations. Governance and Reporting Work with UGL Legal to ensure UGL/CIMIC governance requirements are met and appropriate executive engagement on project commercial status is undertaken. Ensure timely delivery of commercial and financial reports for both SPV and venture board leadership. Maintain compliance with sponsor targets, SPV obligations, and regulatory or venture-specific legal requirements. Oversee collaboration with advisors on public and private sector partnership compliance, as well as governance frameworks for joint ventures. Governance and Reporting Work with UGL Legal to ensure UGL/CIMIC governance requirements are met and appropriate executive engagement on project commercial status is undertaken. Policy and Procedure Responsibilities Ensure individual and, whenever acting in a supervisory capacity, departmental compliance with all UGL policies, procedures, guidelines in a way that not only meets company requirements, but also addresses health & safety, commercial obligations, risk management, and protection of intellectual property About You Degree qualified in a Law, Finance or Quantity Surveying discipline is essential. Extensive Senior Commercial Manager experience for an organisation in a large-scale PPP corporate Experience in a commercial management role within large infrastructure projects, including negotiation of contracts, contract management and dispute resolution. Leadership - maturity to be able to interact with and influence internal and external stakeholders. Ability to achieve outcomes in an environment of managing complex stakeholder relationships, including key business partners. Knowledge of contracts, consortium and joint venture agreements, financing contracts, legal terminology, Australian and NSW legislative requirements that apply to the Power Network industry. Skill in reading and comprehending contract terms and conditions, legislation and regulations, technical specifications, laws and codes as they relate to contract management.
