ESSENTIAL REQUIREMENTS

  • Holding a university (master) degree in Law with a minimum of 5 years proven experience in corporate, commercial, or company law and managing a team, ideally within an international law firm, fiduciary or corporate service provider, or financial services environment at a senior level.
  • High level of technicality and in-depth knowledge, particularly in applicable laws and regulations in relation to corporate services, company secretarial/corporate governance, and managing complex corporate structures.
  • Good understanding of transactional work ((M&A, structuring, group reorganizations) for international and cross-border clients).
  • Proficiency in drafting, reviewing, and negotiating corporate legal documents.
  • Strong analytical and problem-solving skills, able to interpret legislation and propose practical solutions to sensitive matters.
  • Ability to take responsibility and initiatives, display assertiveness and decisiveness, work under pressure and respect deadlines, with excellent time management and organizational skills.
  • Autonomous, open-minded and with high leadership spirit, able to get on with others as a team player.
  • High levels of integrity, professionalism, discretion, and ethical judgment.

Responsibilities

PURPOSE OF JOB

The senior company lawyer shall have a dedicated role in the first line of operations and the management of client relations within JTC to ensure the fulfilment of the relevant Dutch corporate law requirements as well as compliance with other applicable internal and external rules and regulations applicable to clients.
In this position and as a member of the legal team, you will work closely together with the General Counsel and the Finance, CDD and Compliance teams to achieve the clients and JTC’s objectives in a cooperative manner.

MAIN RESPONSIBILITIES AND DUTIES

  • Manage and supervise a team of 2-4 (junior) company lawyers providing a full range of corporate services for an extensive and diversified portfolio of clients in areas including real estate, private equity, securitization, corporate and debt restructuring.
  • Manage his/her own client portfolio and organize and attend clients’ board and shareholders meetings.
  • Provide expert legal support to JTC’s corporate clients, ensuring all actions comply with applicable local and international laws and regulatory frameworks.
  • Review and draft legal documents relating to corporate governance, corporate administration and corporate transactional work, including shareholder agreements, service agreements, loan agreements, articles of association, and board/company resolutions.
  • Work closely with General Counsel on overseeing, managing and coordinating legal aspects of corporate transactions.
  • Ensure the legal and internal procedures in terms of corporate transactional work are complied with, monitor changes in relevant legislation and regulations and ensure proactive adaptation and communication to internal teams and clients.
  • Oversee the administration and review of complex client structures, manage risk exposure and compliance requirements to both the client and JTC, including fulfilment of responsibilities under the review procedures.
  • Manage the relationship with intermediaries and advisors, such as auditors, banks, notaries, legal and tax advisors.
  • Manage work allocation, performance appraisals, and professional development of team members, exemplify accountability for the team’s delivery.
