Description
Overview Due to continued growth, MUFG Pension & Market Services is seeking to appoint an experienced Senior Company Secretary to provide high-quality company secretarial services and corporate governance advice to our clients. In this role, you will assume statutory company secretary appointments for clients or act in a consultancy capacity, depending on the terms of engagement on a case-by-case basis. You will work closely with client Boards, senior executives, regulators and internal stakeholders to deliver pragmatic, compliant and commercially sound governance outcomes. Your success will be underpinned by strong technical expertise, experience supporting ASX-listed companies, and the ability to build trusted relationships while working collaboratively within a high-performing corporate governance team. Key Accountabilities & Responsibilities Operational Management Provide technically sound, practical and commercial advice on the Corporations Act, ASX Listing Rules, market practice and broader corporate governance matters Attend Board and Committee meetings, preparing accurate, timely and professional minutes Manage annual reporting obligations, including drafting notices of meeting and coordinating shareholder meetings Lead and support corporate action project management activities Manage workflows aligned with new business initiatives within Corporate Governance and MUFG Pension & Market Services Partner closely with client Boards and Management to achieve effective governance outcomes People Leadership Provide leadership, guidance and mentoring to team members within the Corporate Governance team, where appropriate Experience & Personal Attributes Minimum 7 years’ experience in an ASX-listed company secretarial role, legal or finance function, and/or a top-tier law firm Strong technical expertise in the ASX Listing Rules, particularly continuous disclosure, and the Corporations Act Proven ability to prioritise competing deadlines, manage multiple clients and exercise sound independent judgment Meticulous attention to detail with a high standard of written and verbal communication Strong stakeholder management skills, with confidence engaging Directors and senior executives Demonstrated commitment to delivering results through collaboration, accountability and teamwork Ability to work effectively both independently and as part of a team MUFG Pension & Market Services is a global, digitally enabled business that empowers a brighter future by connecting millions of people with their assets – safely, securely and responsibly.
