PROFILE  Gowling WLG is seeking a full-time senior Corporate Paralegal for our Corporate Services group in our Business Law department. Working within our Business Law department, the successful candidate will assist professionals by performing legal analysis, researching and preparing legal documents, as well as other tasks involved in the management of the file, in various areas of law. This position receives limited direction or guidance; tasks and objectives are accomplished independently.  RESPONSIBILITIES  * Advanced knowledge of corporate law, governance and regulatory requirements for BC and Federal entities. * Strong experience with: * Incorporations, continuations, amalgamations and dissolutions  * Share issuances, transfers, redemptions and dividends * Extra-provincial registrations and compliance filings * Conducting due diligence reviews of corporate minute books and fixing deficiencies as required.  * Assisting with the creation and uploading of Transparency Registers.  * Experience assisting lawyers with complex transactions, including:  * M&A closings * Corporate reorganizations * Due diligence and corporate record reviews * Ability to independently prepare closing agendas, documents, and post-closing filings * Responding to inquiries from lawyers, clients and corporate registries.    QUALIFICATIONS  * Corporate Paralegal Diploma/Certificate coupled with 10+ years of experience working as a Corporate Paralegal, preferably within a law firm environment * Extensive experience supporting corporate services or business law practices. * Exceptional attention to detail and accuracy. * Strong organizational and time management skills with ability to manage high-volume workloads. * Ability to prioritize competing deadlines in a fast-paced law firm environment. * Strong analytical and problem-solving abilities.  * Excellent written and verbal communication skills. * Ability to work independently with minimal supervision.  * Experience mentoring junior paralegals an asset. * Knowledge of Microsoft Office Suite BENEFITS/PERKS Gowling WLG’s total rewards program is designed to foster a culture where high performance and personal well-being go hand-in-hand. The starting range for this role is $101,600.00 to $124,460.00. Starting salary will be determined based on an applicant’s individual skills, competencies and unique qualifications.
