Responsibilities

You’ll play a key role in managing and executing complex corporate legal work, supporting lawyers across a wide range of transactions and filings. Your responsibilities will include:
· Leading and supporting complex corporate reorganizations, including Section 85 rollovers, Section 86 reorganizations and other tax-driven transactions;
· Assisting lawyers with legal documentation for private M&A transactions and corporate restructurings;
· Preparing and filing corporate documents for BC and Federal entities: incorporations, reorganizations, name changes, amalgamations, continuances, restorations, dissolutions, transparency registers, and more;
· Preparing and filing documents for partnerships, limited partnerships, business names, and extra-provincial registrations across Canada;
· Supporting BC societies and federal not-for-profit corporations;
· Conducting records book reviews and preparing corrective documentation;
· Managing filings with the BC Registrar of Companies and Corporations Canada;
· Creating and maintaining virtual records books, including scanning and digitizing physical records;
· Monitoring and responding to client communications with professionalism and care; and
· Supporting the corporate team with administrative and clerical duties as needed.
