Your Impact as a Senior Counsel - Commercial: This position serves as a key member of the legal team to support the commercial efforts of the company. \n Your Mission: Draft, negotiate, and analyze a broad range of commercial contracts, including EPC and EEQ Agreements, LTSAs, Offtake Agreements, Software Agreements, procurement and supplier MSAs, lease agreements, PPAs, consultant agreements, and other origination-related contracts. Support project development and acquisition activities by preparing and negotiating interconnection agreements, land and lease agreements, MIPAs, Joint Development Agreements, and Development Services Agreements. Support project finance activities by drafting and negotiating financing, tax, and ITC agreements. Structure, draft, review, and negotiate a variety of other/related commercial agreements. Help to develop form files for repeat transaction types. Advise business teams regarding issues that arise during construction, including change orders, waivers and force majeure notices, and after construction, including warranty claims, as necessary. Provide timely and efficient commercial legal guidance on a broad range of business topics, including general corporate matters, intellectual property, commercial law, UCC, dispute resolution, commercial liability, and risk assessment. Support M&A activities through due diligence and negotiation. Manage and partner with a portfolio of external subject-matter expert legal advisors. Partner closely with cross-functional teams to ensure alignment on commercial strategy, risk mitigation, and deal execution. Your Background: JD from an accredited law school. Member of a state bar in good standing. 6+ years’ total work experience after law school. 3+ years' experience with EPC contract drafting and negotiations. 2+ years’ experience in power generation, renewables, and/or energy storage. Past experiences that demonstrate the ability to handle multiple legal matters successfully and efficiently in various legal areas. Demonstrated ability to understand and analyze complex legal matters, to concisely summarize significant legal concerns, and to communicate those concerns effectively to businesspeople. Direct experience with assessing the level of legal and business risk in developing and communicating alternatives. Ability to recognize when an issue requires specialized legal expertise and to engage outside counsel strategically, ensuring clear scoping to manage and minimize legal spend. Responsibilities

This role involves drafting, negotiating, and analyzing a wide array of commercial contracts essential for project development, acquisition, and finance activities, such as EPC, PPA, and financing agreements. The counsel will also advise business teams on construction and post-construction issues, manage external legal advisors, and support M&A due diligence.
