POSITION OVERVIEW:

TD Securities is seeking an experienced and skilled Senior Legal Counsel to provide legal support across a variety of transaction banking and financing activities. The role offers an exciting opportunity to work in a fast-paced, collaborative and high-performing environment, handling complex and broad-scope legal matters. You will play a key role in advising on transaction banking, corporate lending, and cash management transactions.
The successful candidate is lawyer with experience in Canadian transaction banking transactions at a large law firm and/or financial institution.

QUALIFICATIONS/COMPETENCIES/ACCREDITATION:

• 4-8 years of legal experience, ideally gained at a large law firm or a mix of private practice and in-house roles, although candidates with additional experience are welcome to apply.
• Strong background in transaction banking, corporate lending and cash management transactions and regulatory matters.
• Experience with payments and Canadian payments infrastructure is an asset.
• Strong analytical, problem-solving and decision-making skills.
• Ability to work effectively in a fast-paced, complex and ever-evolving environment.
• Excellent communication skills and the ability to provide clear, business-oriented legal advice.
• Qualified to practice law in the Province of Ontario or the State of New York. Role will be Toronto-based.

• Provide legal counsel on transaction banking transactions, including trade finance, cash management and corporate lending.
• Advise on regulatory and compliance matters related to transaction banking activities.
• Draft, review and negotiate transaction document and agreements.
• Collaborate with internal stakeholders, including business teams and risk management, to ensure legal risks are effectively managed.
• Stay up to date on legal and regulatory developments impacting transaction banking and the payments industry.
• Support other legal matters as required in a dynamic and challenging environment.
