Description:
OVERVIEW
We are seeking a highly skilled and detail-oriented professional to join our team as a Senior Director – Strategy & Investment, with a focus on mergers and acquisitions (M&A). This role is critical to driving strategic growth initiatives, conducting complex financial assessments, and executing high-value transactions within the transport and logistics sector. The successful candidate will bring a strong technical accounting foundation, advanced financial acumen, and proven expertise in deal structuring and integration.
QUALIFICATIONS AND SKILLS:
- Bachelor degree with Professionally qualification like CA or CFA.
- 12–15 years of experience in corporate strategy, M&A, and investment roles.
- Strong exposure to technical accounting issues, including consolidation, goodwill impairment, and deferred tax implications.
- Experience in the transport and logistics industry is highly desirable.
- Expertise in financial modeling, valuation methodologies (DCF, market multiples), and capital structure analysis.
- Strong negotiation and deal-structuring skills.
- Excellent analytical and problem-solving abilities.
- Outstanding communication and presentation skills to effectively engage with senior leadership and external stakeholders.

Responsibilities:
KEY RESPONSIBILITIES:
- Strategic Planning: Lead the development of M&A strategies, including identification of acquisition targets, synergy evaluation, and alignment with corporate objectives.
- Technical Accounting Expertise: Ensure compliance with IFRS and other relevant accounting standards during transaction evaluation, including purchase price allocation (PPA), impairment testing, and fair value measurements.
- Financial Modeling & Analysis: Build complex financial models to assess valuation, perform sensitivity analyses, and evaluate the financial impact of potential deals on the organization’s balance sheet, income statement, and cash flow.
- Due Diligence: Oversee financial and operational due diligence processes, identifying risks and opportunities while ensuring compliance with regulatory and statutory requirements.
- Transaction Execution: Manage all aspects of deal structuring, including drafting term sheets, SPA (Sale and Purchase Agreements), and ensuring proper accounting treatment for mergers and acquisitions.
- Post-Merger Integration: Develop and implement integration plans, focusing on financial reporting, internal controls, and alignment of accounting policies.
- Industry Insights: Analyze market trends, competitive landscapes, and industry benchmarks to identify strategic opportunities and risks within the transport and logistics sector.
- Stakeholder Collaboration: Work closely with internal and external stakeholders, including auditors, legal advisors, and investment bankers, to facilitate seamless transaction execution.
