Description:

We have been engaged with a client for their search for a Senior In-House Counsel to join their team in the Atlanta. This is an opportunity to join a growing technology company. In this role, you will be involved in a variety of tasks ranging from transactional agreements to corporate legal processes and compliance issues. You will also be responsible for handling legal risks, developing company policies on legal matters, and maintaining relationships with external legal parties. This is a hybrid role and will require some out of state travel.
Responsibilities
Draft, review, and negotiate a variety of transactional agreements, including commercial contracts, master service agreements, and licensing agreements.
Oversee all corporate legal matters, including contract negotiations, intellectual property management, mergers & acquisitions, and compliance-related issues.
Conduct in-depth reviews of internal documents such as website terms and conditions, privacy policies, HR materials, and business operation guidelines.
Proactively identify, research, and mitigate potential legal risks to the company.
Structure, draft, and review reports and other legal documentation critical to the company’s operations.
Develop and implement company policies and legal strategies on key issues.
Support the organization’s compliance function, ensuring adherence to laws, regulations, and industry standards, including data privacy, cybersecurity, sanctions, and corporate governance.
Advise company leadership on legal matters related to strategic initiatives and business transactions.
Analyze legal issues and assess probable outcomes, leveraging knowledge of legal precedents.
Collaborate with external legal experts in areas such as mergers & acquisitions, employment law, international law, and intellectual property.
Prepare, proofread, and process legal documents such as summonses, subpoenas, complaints, motions, appeals, and pretrial agreements.
Bachelor’s degree and Juris Doctor (JD) from accredited law school with excellent academic credentials are required.
Licensed to practice in at least one jurisdiction.
At least 7-10 years’ relevant experience in a mix of a law firm and in an in-house legal group.
Excellent interpersonal, written and oral communication skills, including ability to work collaboratively and effectively with business clients and other legal department members.
Excellent analytical and negotiating skills.
Excellent organizational and interpersonal skills, with ability to be flexible and adapt to frequently changing workload and responsibilities.
Acute attention to detail. Ability to multi-task.
Strong project management skills, well organized, with the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure.
Must have initiative, be able to act decisively, work independently and exercise good judgment.
