Description We are seeking a highly experienced Senior Law Clerk with 5+ years of experience in general corporate law and multinational corporate operations. The ideal candidate will provide advanced legal support, ensuring compliance and efficiency across corporate transactions, governance and contracts for a global organization. What You’ll Do Assist with corporate governance matters, including maintaining corporate records, minute books, and board resolutions. Prepare, review and manage a wide range of corporate documents, agreements and contracts. Support mergers, acquisitions, joint ventures and other corporate transactions, coordinating with internal and external counsel. Conduct legal research and provide summaries on general corporate law and compliance issues relevant to multinational operations. Liaise with internal stakeholders across multiple jurisdictions to ensure adherence to local and international legal requirements. Assist with regulatory filings, corporate compliance matters and corporate structure updates. Draft and maintain corporate policies, procedures, and internal legal templates. Coordinate with external counsel for specialized legal matters and provide project management support for cross-border legal initiatives. Monitor legal developments affecting corporate governance, regulatory compliance, and international operations. Requirements Law Clerk diploma or certificate from an accredited Ontario college or recognized legal training institution. 5+ years of law clerk experience in general corporate law within multinational organizations. Strong understanding of corporate governance, commercial contracts, mergers and acquisitions, and compliance issues. Experience working with cross-border legal matters and coordinating with external counsel in multiple jurisdictions. Exceptional organizational, communication, and analytical skills. Proficiency in legal research tools, contract management software, and Microsoft Office Suite. ILCO certification or coursework considered an asset.
