Responsible for providing comprehensive legal advice to senior management and all global businesses and functions, the team offers a diverse range of legal skills, jurisdictional experience and practice specialisms across all countries and territories in which our businesses operate.
We are currently seeking a high calibre professional to join our team as a Senior Legal Counsel (Debt Capital Markets).
Principal Responsibilities
The role holder will have primary responsibility for providing legal and transactional advisory support to HSBC’s South-East Asia Debt Capital Markets business.

Principal responsibilities will include:

  • Providing expert and professional legal advice, guidance and support to ensure that legal and reputational risks of the Debt Capital Markets business are proactively identified and mitigated
  • Assisting with the preparation, negotiation and review of legal documentation, from confidentiality agreements, engagement letters and term sheets through to transactional documentation
  • Ensuring that the legal function serves as a proactive and strategic partner to the business
  • Coordinating and managing relationships between internal and external stakeholders, businesses and support functions such as external clients, professional advisors, relationship management and product bankers, compliance and risk functions and agency/trustee teams
  • Being innovative and suggesting solutions that are pragmatic and commercially sound, in addition to being legally sound, aligned with HSBC’s strategy and within HSBC’s risk parameters
  • Collaborating with internal lawyers across the Asia Pacific region, providing support, leadership and subject matter expertise and guidance as required
  • Providing legal input on local, regional and / or global legal projects
  • Promoting the adoption of best practice and documentation standards, including representing HSBC at industry associations (as required)
  • Monitoring major legislative changes and assessing the impact of such changes on HSBC’s business

Requirements

  • Qualified lawyer with solid post-qualification experience of at least 4 years gained in a relevant jurisdiction
  • Strong knowledge and experience with debt capital markets transactions, such as primary issuance of vanilla bonds (investment grade and high yield) and capital securities, Global Medium Term Note Programme and Euro Medium Term Note Programme, as well as liability management
  • Understanding of cross-border financing issues and documentation in South-East Asia markets (such as in Singapore, Indonesian and Malaysia) and India, as well as market practices and processes, such as International Capital Markets Association protocols
  • Ability to prioritise and to work under time pressure
  • Strong oral and written communication and inter-personal skills
  • Lateral thinking/problem solving ability
