We are seeking a highly skilled and experienced Senior Legal Counsel* to join our legal team as an individual contributor* at Software AG. The primary focus of this role is to provide strategic legal support for the separation of business units, including addressing corporate governance, compliance, and legal structuring matters. Additionally, this role will provide legal guidance and support for the closing of sales deals, commercial transactions, and other business operations as needed.
The ideal candidate* will have a deep understanding of corporate and IT law, excellent negotiation and drafting skills, and the ability to work collaboratively with cross-functional teams in a fast-paced environment.
Key Tasks & Responsibilities
- Separation of Business Units:
- Provide legal expertise in planning and executing the separation of business units.
- Draft and negotiate agreements related to the separation, such as transition services agreements, licensing arrangements, and shared services agreements.
- Advise on corporate governance, entity structuring, and compliance issues related to the separation.
- Identify and mitigate legal risks associated with corporate transactions and ensure adherence to applicable laws and regulations throughout the separation process.
- Commercial and Transactional Support:
- Draft, review, and negotiate software licensing, SaaS, professional services, and partnership agreements.
- Support the sales team in closing complex commercial deals, ensuring compliance with legal and regulatory requirements.
- Provide practical legal advice to business units on day-to-day operations, risks, and opportunities.
Collaboration:
- Partner with internal stakeholders, including finance, HR, product, and operations, to achieve business goals while managing legal risks.
- Liaise with external counsel when necessary to handle specialized legal matters or litigation.
Skills & Competencies
- Legal Expertise: Strong knowledge of corporate and IT law.
- Analytical Thinking: Ability to analyze complex legal issues and provide actionable recommendations.
- Negotiation: Excellent negotiation and drafting skills, with a focus on minimizing risks and achieving favorable outcomes.
- Business Acumen: Understand the software industry, including business models and regulatory requirements.
- Communication: Exceptional verbal and written communication skills, with the ability to explain legal concepts clearly to non-legal stakeholders.
- Problem-Solving: Proactive and solutions-oriented, with a practical approach to managing legal challenges.
- Independence: Self-motivated and capable of managing multiple priorities independently.
Experience Required
- Several years of legal experience, preferably including time at an international law firm and/or as in-house counsel in the software or technology sector.
- Demonstrated experience with business unit separations, or corporate restructuring.
- Strong familiarity with software licensing, SaaS, commercial contracts and the legal support of sales organizations.
Education Required
- Fully qualified lawyer in Germany or advanced law degree with high academic standing (equivalent to Germany’s second state exam)
