PowerON is seeking a business-minded and results-oriented legal professional to join as Senior Legal Counsel. Reporting to the Head of Strategy & Commercial, this role will support across PowerON’s operations, major projects and strategic business initiatives, providing strategic legal advice and support across the practice areas of commercial, construction, and corporate law.
As PowerON’s primary in-house legal counsel, this role offers a unique opportunity to shape legal strategy in a fast-growing, entrepreneurial business. The Senior Legal Counsel will also collaborate with external counsel for specialized areas where required and, where appropriate, align with senior legal counterparts at Ontario Power Generation (OPG) or other partner organizations on specific matters.
The Senior Legal Counsel will be PowerON’s primary legal point of contact for senior counsel and legal teams at major public clients (such as transit agencies, municipalities, and government entities) as well as private-sector partners (including large suppliers and corporate fleet operators).

QUALIFICATIONS:

  • 7+ years of post-call experience in commercial, P3 infrastructure and/or construction law.
  • Combination of law firm and in-house counsel experience strongly preferred.
  • Demonstrated expertise in drafting and negotiating commercial contracts, including software/SaaS agreements.
  • Experience with construction law, including CCDC contracts and Construction Act compliance is an asset
  • Proven ability to manage disputes, including pre-litigation resolution.
  • Strong business judgment, commercial awareness, and ability to provide practical advice.
  • Strong ability to collaborate across departments and, when required, lead internal resources to drive alignment and accountability.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work independently and manage multiple projects in a fast-paced environment.

Responsibilities
  • Draft, review, and negotiate customer, supplier, and software/SaaS agreements, providing practical legal and commercial advice on structuring and finalizing new deals.
  • Support infrastructure and project-finance style deals, including P3 or similar long-term contracting models, advising on risk allocation and partnership structures.
  • Identify the need for legal systems improvements and execute them such as developing template agreements for PowerON’s projects (e.g., infrastructure, O&M, software).
  • Proactively identify risks and provide legal advice to internal teams on rights, obligations, and remedies under existing agreements, recommending strategies to prevent disputes.
  • Manage disputes with legal counsels of customers, suppliers, and contractors, including coordinating external counsel as needed.
  • Provide legal support on construction projects, including CCDC contracts, compliance with the Construction Act, contract administration, and dispute resolution.
  • Serve as PowerON’s legal point of contact with external senior counsel at client organizations, municipalities, and private-sector partners, ensuring PowerON’s legal and commercial interests are well represented.
  • Identify when specialized expertise is required and lead the engagement and management of external legal counsel (e.g., subject matter specialists, litigation counsel).
  • Act as a trusted advisor on legal risk, commercial nuance, and negotiation strategy.
