As Senior Legal Counsel, you are responsible for providing strategic legal advice to Group management, ensuring the company’s compliance with applicable laws and regulations, and managing the organization’s legal affairs.

Responsabilities

• You provide legal advice and guidance to management bodies on complex aspects.
• You are the front-line contact for the various departments (HR, R&D, Sales, etc.) for all legal and compliance aspects.
• You monitor legal and regulatory developments in all areas of law of interest to the Group, and draw up opinions, procedures and recommendations for the departments concerned.
• You draft, review and participate in the negotiation of company contracts such as commercial agreements, licensing agreements, distribution agreements, financing agreements, supply agreements, etc. You actively support the sales department in developing business.
• You handle litigation and claims involving the Group in collaboration with the Company’s external lawyers, and ensure follow-up and reporting to the management bodies.
• You are responsible for corporate housekeeping, drafting, reviewing, negotiating and implementing any M&A transactions/agreements (capital increases, restructurings, mergers, acquisitions, spin-offs, etc.).
• You are involved in the implementation of an IP legal strategy to protect the Group’s intellectual property rights, and in the development of tools (including training) to support this strategy.
• You develop and improve the Company’s corporate governance policies and procedures.
• You manage the Company’s insurance portfolio and the risks covered by it in collaboration with the broker(s).
• You develop and maintain adequate databases/records of the Group’s commercial contracts and train the sales teams on their roles and responsibilities in this context.
• You actively participate in the Group’s international deployment by protecting its interests, in compliance with national and international legislation and agreements (structuring of legal agreements, due diligence, structuring and integration of local entities).
• You are responsible for the regular assessment and development of your employees, and for maintaining a positive working climate.
• You participate in the identification and recruitment of members of your department.

Profile

• You have a Master’s degree in Law.
• You have at least 6 years’ experience in a legal function.
• You have experience in pharmaceuticals, medical devices or a related field (IP, IT, biotechnology, etc.).
• You have an excellent level of French and English.
• You have solid experience in drafting and negotiating commercial contracts, including IP aspects.
• You have excellent communication and writing skills.
• You have the ability to simplify complex issues and propose pragmatic, tailor-made solutions.
• You are a team player with good interpersonal skills.
• You have strong analytical and problem-solving skills.
• You have excellent negotiation skills.
• You are stress-resistant, confident, resilient, committed and innovative.
• You demonstrate discretion & confidentiality in handling confidential information.
• You are autonomous and proactive.
