A. PROFILE Role Title: Senior Legal Specialist Reporting to: Legal Director Division: Legal Department / Section: Legal B. CONTEXT Purpose: To act as a legally trained resource, especially with respect to 'template' contracts with high volumes. To be the primary liaison of the company with quasi legal functions such as administration of Stamp Duty process and dealing with DICA. To be primary support to CLO in dealing with Board and Governance issues. Context: Legal Department is responsible for providing legal guidance, support & counselling on all legal and compliance matters to a range of internal customers across the organization to address all legal risks and safeguard the organisation's interest in contractual dealings with external parties. It is also responsible for effective management of the organisation's relationship with the regulators, government ministries, senior government officials and ensuring legal compliance. C. ROLE ACCOUNTABILITIES Management of Stamp Duty compliance process including interaction with Internal Revenue Department, business units of U9, finance and safeguarding of stamped documents; Management of SAP system for Legal, Regulatory and ESMS teams and facilitation of Purchase Requisition, Purchase Orders and Goods Received; Ensuring accurate and timely filing of all necessary corporate documents and stakeholder engagement with Directorate of Investment and Company Administration (DICA) to that end; Maintaining accurate and searchable filing of all Board documents; Assisting CLO in preparation of all Board documents including Memo's, Resolutions, Notices and filings and maintaining accurate and up to date filing and safeguarding of Board documents; Assisting in preparation of template-based Agreements required in day-to-day operations D. KEY PERFORMANCE INDICATORS Preparation, review and advice on template-based agreements. Assist with contract approval and execution process Provide support to CLO to prepare U9 for Board Meetings, to maintain appropriate meeting records and to assist with follow-up actions To manage the timely and accurate fulfilment of U9's obligations in relation to the payment of stamp duty To ensure that U9 meets our statutory requirements in relation to DICA in a timely manner. WORKING RELATIONSHIPS & DECISION MAKING Interacts with: Internal: All business units requiring template –based contracts and or submitting materials for Board approval, President, CEO and CLO External: DICA, MIC, IRD and Governance Decision Making Administrative decision-making in consultation with CLO and Director, Legal F. EXPERIENCE AND QUALIFICATIONS Minimum Experience & Essential Knowledge 3-5 years PQE Advanced proficiency in Microsoft Office User Suite Good English and written verbal skills Minimum Entry Qualifications Bachelor of Laws (LLB) or other suitable Undergraduate Legal Degree
