Description
Are you ready for a new beginning? We need your talent, knowledge and dedication to better our world with biology. Our purpose points the way In Novonesis, we know that solutions rooted in biology can help solve humanity’s biggest challenges. Since we began more than a century ago, this has been our guide. It’s how we've gotten so far. And it’s how we'll impact the future. Now, more than ever, the world needs change. And with biosolutions, the possibilities for transformation are endless. We’re here to better our world with biology. Join us as our new Senior Manager – Mergers & Acquisitions in Novonesis In this role you will play a key role in driving our high-impact inorganic growth initiatives across acquisitions, remediation situations and selective partnerships. You will own the end-to-end deal lifecycle – from origination and valuation through diligence, negotiation, signing, and close – in close collaboration with executive leadership and cross-functional teams. This opportunity is a great fit if you enjoy combining boardroom-level strategy with hands-on transaction execution, and if you are energized by learning fast, spotting patterns early, and turning complex science- and technology-enabled opportunities into clear, actionable investment decisions. A genuine passion for biotechnology, innovation, and technology-enabled business models will help you thrive in this position. In this role, you’ll make an impact by: Translating Novonesis’ strategic priorities into clear investment theses and a proactive M&A pipeline, continuously monitoring market dynamics, competitive moves, and valuation trends. Driving end-to-end assessments of potential targets, including strategic fit, commercial attractiveness, competitive positioning, technology and capability relevance, and integration feasibility – and turning this into clear recommendations for senior leadership. Owning the valuation workstream, including operating and synergy models, valuation analyses, sensitivity and scenario testing, accretion/dilution analysis, and returns assessment, while maintaining high valuation discipline and transparent assumptions. Coordinating and leading multifunctional due diligence across commercial, financial, tax, legal, regulatory, compliance, technology, operations, HR, IT, and cybersecurity, and synthesizing findings into practical risk frameworks, mitigation plans, and negotiation priorities. Supporting TSA planning and execution where relevant, including defining scope and service schedules, transition timelines and service levels, coordination of functional owners, and management of separation and dependency risks to secure Day 1 continuity. Shaping and executing transaction strategy and negotiation, including term-sheet design, price and structure options, earn-out and contingent value mechanisms, governance rights, representations and warranties, closing conditions, and risk allocation, in close partnership with legal counsel and advisers. Contributing to post-signing and pre-close planning, including Day 1 readiness, key talent retention, governance setup, integration sequencing, and value-capture tracking, working closely with integration leaders to preserve business continuity while realizing strategic and operational benefits. Continuously improving the Corporate Development operating model, helping strengthen templates, playbooks, governance materials, and reporting standards to improve quality, speed, and repeatability across transactions. This role demands independent thinking, strong accountability, and solid judgment in uncertain and fast-changing environments. Success in the role also depends on emotional intelligence – sensing and navigating stakeholder interests, flexing your communication approach, and building lasting relationships. We are looking for an individual who blends analytical depth with maturity, resilience, and a genuine curiosity to learn. You are likely to bring some of the following: Substantial experience (8+ years) in management consulting, corporate development, investment banking, private equity, or transaction advisory, with a strong record of participating in or leading cross-border M&A transactions; experience at Senior Manager level or equivalent, including direct ownership of deal workstreams and senior stakeholder management. A bachelor’s degree or above in finance, economics, engineering, business, or a related field (MBA or equivalent professional qualification is welcome). Advanced financial modelling and valuation capabilities (discounted cash flow, comparable company analysis, precedent transactions, synergy modelling, and scenario-based decision frameworks), and the ability to turn complex analyses into clear executive recommendations. Proven deal execution experience across diligence, structuring, negotiation, and documentation, with strong commercial judgement to assess strategic fit, identify risks early, and maintain valuation discipline in competitive situations. Comfort independently leading negotiations for small and mid-sized transactions with founders, CEOs, and shareholder groups, while escalating appropriately on critical terms, governance, and risk-sharing decisions. Excellent communication and influencing skills, including confidence in presenting to senior executives and steering committees, and strong cross-functional leadership to align multiple internal stakeholders and external advisers. Experience with international and multi-jurisdictional transactions, including familiarity with antitrust and regulatory considerations relevant to strategic M&A. Readiness to travel up to 15% of working time is required. A strong interest in biotechnology innovation is highly valued. We welcome candidates who enjoy continuous learning and are motivated by building deals that connect advanced technology with real-world impact.
