Description
Global Subsidiary management and governance Support Lam subsidiary boards of directors with resolutions, agendas and meeting documents. Support annual/extraordinary general meetings of shareholders for subsidiary boards. Support the maintenance of corporate records including articles of incorporation, bylaws, minutes, charters, and other corporate documents and ensure compliance with local regulations Manage and assist executives with director and officer disclosures. Co-Administer and co-maintain the company's entity management platform and internal SharePoint sites. Instruct and manage external counsel on global subsidiary governance matters. Coordinate with regional management teams to ensure timely filings Collaborate with internal stakeholders across various cross-functional teams for projects including mergers, acquisitions, dividends. Support global or regional roll-out and training for ethics & compliance or legal programs, e.g. localization of policies, procedures and training (online and in-person), “dawn raid” or unannounced visitor & inspection, due diligence checks on external business partners, etc Minimum a Diploma in Legal or equivalent paralegal certification More than 5 years of relevant work experience as an in-house or law firm paralegal tasked with subsidiary corporate governance activities and legal department support Strong understanding of and experience in working at a US MNC Good judgment, excellent attention to detail and high standards for work product, and ability to maintain discretion and confidentiality Excellent oral and written English and Mandarin language skills Ability to work independently with limited supervision and to collaborate successfully with other business groups Willingness and desire to learn, and demonstrated ability to take initiative Ability to prioritize competing demands, meet deadlines, and work proactively and efficiently Experience working with Computershare GEMS (or equivalent subsidiary governance software), SharePoint and Microsoft 365 Must be able to work well with others 10% travel required Flexibility to adjust work hours to accommodate international subsidiary time zones when needed Ability to speak and read Japanese or Korean is a plus Have a good sense of humor Familiarity with other compliance software and learning management systems
