Main purpose of the role: The strong candidate will provide legal support for ECM transactions, including IPOs, rights issues, secondary offerings, and other equity-linked deals. Duties & Responsibilities: Advise on ECM transactions such as IPOs, follow-on offerings, rights issues, and private placements. Draft and negotiate prospectuses, underwriting agreements, engagement letters, and listing documents. Liaise with regulators (HKEX, SFC) to ensure compliance with listing rules, securities regulations, and disclosure obligations. Conduct and coordinate legal due diligence for issuers and underwriters. Provide guidance on corporate governance, shareholder communications, and disclosure requirements. Collaborate with internal teams (investment banking, compliance) and external counsel to manage transaction timelines and deliverables. Track regulatory developments and advise on implications for ECM activities. Person specification: Hong Kong or Commonwealth qualified lawyer with minimum 5+ years PQE (preferably in ECM/M&A). Solid experience in ECM transactions gained from a top-tier law firm or in-house legal team. Strong understanding of Hong Kong Listing Rules, Securities and Futures Ordinance, and corporate governance frameworks. Excellent drafting, negotiation, and communication skills. Fluent in English; proficiency in Cantonese and/or Mandarin is highly desirable. Ability to work independently, manage multiple workstreams, and deliver under pressure.
