The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The mandate of the OSC is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair, efficient and competitive capital markets and confidence in the capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, and enforcement activities. The OSC also contributes to national and global securities regulation development.

The Enforcement Division of the Ontario Securities Commission investigates and litigates breaches of securities laws in Ontario. Team members work closely with other securities regulators, self-regulatory organizations and law-enforcement agencies to enhance initiatives to fight misconduct. A strong visible enforcement presence assists in protecting investors from unfair, improper or fraudulent practices, fosters fair, efficient and competitive capital markets, fosters capital formation, and contributes to the stability of the financial system and the reduction of systemic risk.
The Intelligence, Analytics and Research unit supports the Enforcement division by gathering and sharing intelligence relevant to investigations, by running the Enforcement’s data analytics function and by helping with budgeting and forecasting. The team also collaborates with the Information Services and Digital Solutions Department on special projects related to using intelligence-driven analytics to enhance activities within the Enforcement mandate.
The Special Projects Technical Specialist will lead the Enforcement Division’s contribution to the development and implementation of detection and analytics tools in coordination with the Information Services and Digital Solutions (ISDS) Division and be responsible for providing strategic leadership, expertise and in-depth technical assistance in identifying insider trading and other market misconduct in Ontario’s capital markets through the creation and implementation of technology solutions focused on data analytics using various data sources, including market data.

What will you do?

• Act as the primary liaison with the Enforcement Division and the ISDS Division, serving as the subject matter expert to the ISDS teams.
• Develop a comprehensive understanding of required functionalities, capabilities and limitations of existing algorithms and analytics tools and techniques.
• Collaborate with Enforcement’s Market Abuse team and the Enforcement Data Science team to develop a sound understanding of, and stay abreast of, evolving Enforcement and OSC priorities to ensure alignment with the use of investigative tools.
• Contribute to the continuous improvement of existing detection tools by working closely with other Enforcement colleagues and the ISDS development team to identify high-value data sources, features and functionalities that can enhance effectiveness and utility.
• Provide feedback and insights to ISDS on detection tools’ features, user interface and data sources, and communicate findings, trends, and regulatory actions to ISDS and other stakeholders. Ensure Enforcement management, including the Head of Market Abuse, is kept apprised of any issues or concerns potentially effecting the short-term and long-term goals of the detection tools.
• As required, provide guidance regarding required disclosure of, and/or testify in proceedings brought before the Capital Markets Tribunal or the Ontario Provincial Court regarding data sources used in detection algorithms and to the functionality, capabilities and limitations of analytics techniques and algorithms used in the detection of market misconduct.
• Provide support to Enforcement investigators - on analysis of trade data, the use of detection tools in investigations and the potential to proactively identify insider trading and other market misconduct.
• Maintain a general, up-to-date understanding of developments within the capital markets, and developments in AI and data analytics technologies and their use in securities-related investigations (including outreach to CIRO, FINRA and IOSCO members in this regard) to continuously improve the effectiveness of OSC’s detection tools.

What do you need to succeed?

• Undergraduate degree in Accounting/Law, Financial Engineering, Information Management, Economics or related discipline, with 8-10 years’ experience in data analytics and investigations, or an equivalent combination of experience and education.
• In-depth knowledge of capital market operations/trading processes and terminology.
• CFA charterholder designation is an asset.
• Solid understanding of the elements of the insider trading and market manipulation offences, and the inherent challenges involved in investigating and prosecuting these offences. (e.g., market impact test, reasonable investor test, definition of insiders, etc.)
• Familiarity with, and interest in, AI tools and data analytics strategies and the leveraging of these tools and strategies to further investigations.
• Solid understanding of the Canadian securities legislation and regulatory environment, criminal fraud, securities law issues and administrative/criminal justice systems.
• Strong analytical skills with the ability to analyze large datasets including creating frameworks to visualize data, patterns and statistical relationships.
• Strong leadership, mentoring and coaching skills.
• Strong interpersonal, customer service and relationship management skills.
• Strong critical thinking and problem-solving skills.
