QUALIFICATION

  • Juris Doctorate with Illinois licensure, 2-5+ years of relevant legal experience (nonprofit/association/corporate preferred), and strong expertise in nonprofit/association law, corporate governance, contracts, employment law, and risk management
  • Excellent communication, analytical, and project management skills are essential
  • Strong problem-solving and analytical skills, with the ability to balance legal risk with organization needs
  • Ability to work independently but collaboratively with cross-functional teams
  • Proficiency in relevant software

KEY ACCOUNTABILITIES

  • Serve as primary support staff to the AAOMS Commission on Professional Conduct (CPC), which includes regular monitoring of state dental board disciplinary actions, preparation of quarterly meeting materials, minutes and Board reports and preparing action item correspondence from meeting decisions to be sent to members.
  • Assist the AAOMS Board and CPC with updates to the Code of Professional Conduct as necessary to stay current with dental specialty trends.
  • Provide proactive HR support, including ensuring adherence to all applicable labor laws, reviewing and updating employment policies and handbooks, and advising HR and leadership on legal issues related to hiring, terminations, employee classifications, and benefits.
  • Deliver legal guidance on workplace investigations, disciplinary actions, and employee relations, as well as assisting in handling internal complaints, grievances, and investigations, including coordinating with external counsel when required.
  • Maintain primary responsibility for reviewing contracts in a timely manner and participate in phone calls with AAOMS staff and other party contacts when necessary to advance negotiations.
  • Assist General Counsel with issues arising from dental and medical boards, legislative and regulatory positions, organizational and governance policies, and other areas of the dental profession.
  • Assist General Counsel with issues relevant to the specialty, including scope of practice, licensing and communicating with the public; support legal aspects of the organization’s advocacy efforts.
  • Provide comprehensive legal support for corporate governance, encompassing document drafting and maintenance, board and committee meeting assistance, and risk management support.
  • Assist General Counsel with Association intellectual property matters, including initial trademark searches, USPTO registrations, copyright protection and cease and desist letters.
  • Provide legal review for in-house matters to various AAOMS departments, such as Marketing and Communications, Meetings and Exhibits, and Continuing Education.
  • Respond to member inquiries on legal, ethical and governmental issues, and recommend appropriate action when necessary.
  • Provide proactive legal education and compliance updates through staff training on relevant topics and continuous monitoring of legal trends impacting the organization.
  • Performs other similar or related duties as requested or assigned by the General Counsel.
