Our client, a prestigious American-origin PSF, is seeking a Tax & Legal Counsel to join their dynamic team of around ten professionals in downtown Luxembourg. This renowned company offers a unique opportunity to work in a stimulating and multicultural environment at the heart of the financial sector.

Responsibilities

TAX & LEGAL COUNSEL - YOUR RESPONSIBILITIES WILL INCLUDE:

  • Managing and drafting minutes of board meetings, ensuring compliance with local regulatory requirements and best practices.
  • Overseeing the preparation and finalization of notarial deeds, in collaboration with notaries and other stakeholders, to guarantee the legal validity of transactions.
  • Providing legal expertise on aspects related to PE/RE funds, including structuring, transaction management, and investment monitoring.
  • Taking charge of SPV management, including the formation and ongoing administration of legal entities.
  • Leading capital increase processes, ensuring proper documentation and regulatory compliance.
  • Negotiating contracts with a strong focus on technical accuracy and business orientation.
  • Handling company formation abroad, including distressed debt situations, and managing the underlying shares and capital structure.
  • Ensuring adherence to AML procedures, monitoring suspicious activity, and collaborating with compliance teams to enhance internal processes.
  • Supervising tax-related legal documents and reports, working closely with an external tax advisory firm to ensure regulatory compliance and optimize tax structuring.
  • Reviewing and validating tax reports and declarations, ensuring alignment with Luxembourg’s tax framework and international tax regulations.

TAX & LEGAL COUNSEL - TO SUCCEED IN THIS ROLE, YOU MUST:

  • Have 4-5 years of experience in a law firm and/or in-house legal roles, ideally with a mix of both.
  • Possess excellent technical skills and demonstrate a strong understanding of SPVs, fund structuring, and tax-related legal matters.
  • Be business-oriented, with the ability to negotiate contracts and provide innovative solutions to complex legal and operational challenges.
  • Hold a law degree and ideally have experience as a lawyer, showcasing practical expertise in handling complex legal matters.
  • Show proficiency in managing distressed debt cases, an asset for this role.
  • Have experience in reviewing tax-related documentation and working with external tax advisors.
  • Have perfect command of English and French, essential for effective communication with international clients and partners.
  • Demonstrate a proactive attitude and the ability to multitask in a fast-paced environment.
