By combining legal, financial, and operational expertise with modern infrastructure, we enable complex transactions to execute efficiently across jurisdictions and counterparties. Role Overview You will be a core member of Tangible’s transaction execution and legal function, supporting private-market transactions from late-stage deal structuring through closing and post-closing execution. This role spans transaction execution, legal documentation, and compliance oversight. You will work closely with the internal deal team and external counterparties to ensure transactions are executed accurately, efficiently, and in line with regulatory and contractual requirements. The role is designed for a commercially minded legal or transaction professional who enjoys being embedded in execution, taking ownership, and helping scale internal legal and compliance processes. Tasks ** Transaction Execution & Closing** Manage and coordinate the execution and closing phase of transactions, ensuring all legal, compliance, and operational workstreams progress smoothly. Act as the primary legal point of contact once commercial terms are agreed to. Support clean handoffs from the deal team and ensure alignment across stakeholders. ** Legal Documentation & Internal Review** Draft, review, and negotiate transaction-related documentation including NDAs, LOIs, purchase and sale agreements, transfer agreements, and related closing materials. Interpreting fund documentation such as LPAs, offering materials, and side letters to identify transferability guidelines, consent requirements, and closing constraints. Conduct internal legal reviews of agreements prepared by external counsel, counterparties, or vendors. Review and maintain templated agreements and standard vendor documentation, ensuring consistency with Tangible’s legal and commercial standards. ** Compliance & Regulatory Oversight** Oversee KYC/AML onboarding and regulatory documentation in coordination with internal teams and external compliance providers. Support compliance-related workstreams associated with transactions, including onboarding, disclosures, and regulatory checks. Assist in reviewing and managing compliance processes currently handled externally, with a view to improving efficiency and cost control. ** Process Development & Stakeholder Coordination** Coordinate with buyers, sellers, fund managers, administrators, custodians, lenders, and advisors throughout execution. Identify execution or compliance risks early and work collaboratively to resolve them in a pragmatic, commercially sensible manner. Contribute to the development and refinement of internal templates, playbooks, and standardised execution processes as the platform scales. Requirements You are an execution-oriented legal or transaction professional who is comfortable operating across legal, compliance, and operational domains. You bring: 5+ years of post-qualification experience in transactional legal, compliance, transaction services, or financial services roles, ideally within investment banks, Big Four advisory, private equity, or in-house legal teams. Strong familiarity with US and/or UK law-governed agreements in a cross-border context. Experience supporting or managing multi-party transaction execution and closing processes. Working knowledge of KYC/AML and regulatory compliance in financial transactions. Strong organisational and communication skills, with the ability to manage multiple workstreams simultaneously. Nice to have Experience in financial services, private markets, or fintech platforms. Experience coordinating multi-party closings involving lenders, fund managers, administrators, custodians, and institutional investors. Comfort working across international time zones and cultures.
