EDUCATION AND QUALIFICATIONS:

  • Bachelor’s Degree (2.1) or equivalent
  • ACA, CTA or equivalent qualified

EXPERIENCE, SKILLS AND COMPETENCIES:

  • Relevant post qualified experience of tax with a focus on transactions from either an in-house or practice role including:
    o Experience with UK tax, primarily corporation tax and an understanding of employment tax, management incentives, VAT and stamp taxes, is useful but not a requirement.
    o A broad tax technical knowledge, including knowledge of current developments in legislation, case law and related accounting matters
    o An understanding of accounting matters in a transaction context, including current and deferred tax accounting
    o Experience of various transactions involving tax diligence (buy-side and sell-side) for example acquisitions and disposals, public to private transactions, refinancing, corporate carve-outs
    o Experience of tax issues specific to different industry sectors is helpful to issues-based diligence
    o Ideally, some experience of assisting with tax review of transaction models, review of sale and purchase agreements, dealing with W&I insurers and completion matters (although this is not a requirement)
    o An ability to communicate (verbal and written) in a straightforward and practical way to tax and non-tax specialists.
    o Strong analytical and organisation skills and an eye for detail
    o Outgoing and personable and able to integrate with a team and interact with colleagues of all grades
    o Ability to prioritise and manage a varied workload to deliver work when requires
    o Ability to take ownership of projects and come to decisions independently whilst being supported by the senior team

o Demonstrable skills at building and maintaining relationships with clients and colleagues within and outside tax teams

Responsibilities

ABOUT THE ROLE

The Corporate Finance Practice in FTI Consulting is seeking a Senior Consultant / Director to support the senior team in providing tax input into transaction advisory, structuring and due diligence projects.
The tax team is involved in many transaction and due diligence projects which are generated from a variety of sources including the tax client base, part of wider projects with our Transaction Services and Restructuring teams, referrals from our international network, WTS Global, and referrals from other international parts of the FTI firm including our own transaction tax teams in the US and UAE. The role is to support the senior members of the tax team up to Senior Managing Director on the tax aspects of these projects, day to day liaison on the transaction process, identifying potential exposures and opportunities and drafting the due diligence and structuring reports.
Ideally you will have relevant experience of advising on transactions and undertaking due diligence projects, be highly organised, have a broad tax technical awareness, have a good attention to detail and be able work to deadlines. You are likely to currently be part of a transaction services team at a Big 4 or equivalent, working on transactions and have ideally gained experience in audit and tax compliance earlier in your career.
At FTI, senior tax team members are actively involved with clients and projects. However, members at all grades team are encouraged to take on a greater amount of responsibility than is generally available in other practices. While support will be provided by tax sector specialists (e.g. employment tax, VAT, transfer pricing, capital allowances, R&D, international, etc.) as part of this role you will develop broad technical awareness of relevant issues across all UK taxes. Working on transactions involves working across a diverse range of industries and jurisdictions and involves dealing with complexity and ambiguity in situations to help clients successfully execute their transaction.

WHAT YOU’LL DO

  • Leading or supporting the tax Senior Director and Managing Directors with tax on transactions including structuring and due diligence exercises;
  • Liaising with other members of the tax team and Transaction Services and Restructuring teams as required;
  • Delegating work to and managing the junior members of the tax team
  • Assisting the senior team with other advisory projects as required
  • Actively keeping up to date on technical matters and dealing with detailed technical queries raised, coordinating the preparation of practical, robustly supported advice
  • Assisting the senior team with thought leadership
