GENERAL DESCRIPTION

Are you an experienced Paralegal with experience in investments, including private equity, hedge funds, and venture capital?
The TTSTC Legal Department is seeking a highly skilled and detail-oriented Paralegal. This is a unique opportunity to join a collegial, and supportive legal team working in a dynamic environment at the intersection of law, finance, and public service. Our fast-paced environment offers exciting opportunities to work on sophisticated investment transactions supporting the legal team, while contributing to the financial security of the State of Texas. The ideal candidate will have significant experience with limited partnership agreements, side letters, and subscription documents. This role is critical to ensuring the smooth operation of TTSTC’s investment process. In this role, you will support the TTSTC Legal Department acting as a key liaison with internal and external teams, reviewing, analyzing, and preparing private investment documents, and supporting the legal team in contract negotiations, among other tasks. PREFERRED QUALIFICATIONS

  • Graduation from an accredited law school with an LL.B. or J.D. degree
  • Strong knowledge of investment structures and documentation
  • Experience working in government, financial services, or institutional investor is a plus.
  • Familiarity with the Texas Public Information Act
  • Proficient in Microsoft Office and Excel software.
  • Strong research and analytical skills.
  • Detail-oriented

Responsibilities

IN THIS ROLE YOU WILL

Investment Responsibilities:

  • Reviewing, analyzing, and summarizing private investment agreements, including limited partnership agreements, private placement memoranda, and other governing documents
  • Preparing and coordinating execution of subscription agreements and investor questionnaires
  • Drafting side letters
  • Assisting TTSTC attorneys with negotiating and due diligence on investment transactions, including coordinating with external counsel and other investment professionals
  • Tracking and maintaining key investment and legal documentation, including managing deadlines and compliance requirements
  • Conducting legal research on investment related topics, regulations, and best practices
  • Coordinating with counterparties, service providers, and other divisions within TTSTC to help ensure investment documentation is submitted and recorded appropriately and timely

LEGAL SUPPORT RESPONSIBILITIES:

  • Assisting in drafting and managing contracts, including interacting with vendors, reviewing invoices for contract compliance, and reporting to Contract Administration Office
  • Drafting correspondence, responding to open records requests (Texas Public Information Act), and opinion requests involving legal interpretations and decisions.
  • Performing legal research and analysis related to TTSTC’s operations
  • Reviewing and editing legal documents
  • Responding to audit requests.
  • Maintaining organized legal files and use of document management systems.
  • Maintaining investment and compliance calendars.

OTHER RESPONSIBILITIES:

  • Provide general legal and administrative support to attorneys as needed
  • Assisting with biennial legislative session including:
    o Analyzing proposed legislation
    o Preparing costs estimates
    o Managing legislative reporting system
