Overview Manages deal teams and work streams including the analysis, underwriting and execution of unitranche or mezzanine debt investments and corresponding equity co-investments toward the achievement of the management objectives of the Company. Targets privately held companies in the continental US seeking unitranche or mezzanine debt investments and corresponding equity co-investment. Interacts directly with private equity groups, the management of portfolio companies, target companies, and investment banks. Conducts negotiations in regards to pricing and structure, and sources deals. Establishes a strong reputation in the market and targets deals in the $20 million to $50 million range, eventually producing 3 -to 6 deals annually. Works with minimal supervision and is responsible for independently making a broad range of critical decisions, escalating to Managing Director when appropriate. Responsibilities What you will do: Creates an open-door culture that builds trust and creates an environment of collaboration and comradery among the team. Promotes team building to have the team working to one goal and objective, building trust within the team, and promptly reacting to distractions. Leads, develops, and provides constant feedback to the junior team members that align with the company values. Sources proprietary investment opportunities and creates an investment deal flow pipeline. Validates the business opportunity, establishes an investment case, and structures and negotiates terms for potential investments. Calls on prospective private equity, groups and investment banks to generate deal flow, and negotiates terms of the engagement. Meets with clients to establish investment goals, and to present prospective investments. In coordination with outside counsel, coordinates the closing process for all new investments. Works with outside counsel to generate the appropriate legal documents under the direction of a Managing Director. Reviews and finalizes draft investment memos, including the presentation and final recommendation of investments to the Investment and Finance Committees. Meets regularly with the Client to review status of the portfolio, problem loans, etc. Identifies privately held companies in the Midwest seeking financing. Recommends and presents for approval investments evaluating the historical financials and proforma and ability to service the new capital structure among other things. Credit Quality: play a lead role in identifying issues in underlying portfolio companies and taking corrective actions. Interacts directly with private equity groups, the management of portfolio companies, target companies, and investment banks. Maintains strong and positive relationships with private equity groups, family offices, investment bankers, commercial bankers, attorneys and accountants Performs other duties as assigned. Complies with all policies and standards. Qualifications BA/BS accounting, finance or economics. - Required MBA - Preferred Typically requires 10+ of corporate lending experience, including origination, structuring and closing of leveraged debt transactions. - Required Proven prior experience, skills and knowledge in insurance, banking or other financial services industry. - Required Proven experience coordinating multiple projects/assignments simultaneously, and completing assigned tasks accurately and on a timely basis. Demonstrated strong attention to detail with excellent organizational skills. Expected to cite examples of organization and time management/methods used to manage or prioritize workload demands. - Required Demonstrated experience setting professional goals and successfully implementing and achieving those goals. - Required Demonstrated experience maintaining a calm and professional demeanor when handling demanding situations. - Required Proven strong and significant network with bankers and private equity funds in the US and primarily the Midwest. - Required Proven track record of relationship building with small and medium size business owners / management teams. - Required Demonstrated investment analysis, diligence, and process experience. - Required Proven excellent verbal and written communication skills with ability to convey information to internal and external customers in a clear, focused and concise manner. - Required Proven strong working knowledge of corporate financial statements, leveraged buyout modeling, and credit agreement negotiation. - Required Proven understanding of due diligence requirements and review. - Required Proven excellent analytical and credit skills. - Required Proficient in Microsoft Word, Excel, Outlook and Argus. - Required Working knowledge of database and web-based applications. - Required Work Setting/Position Demands: This position travels and works in various office settings and requires being in a stationary position for long periods of time frequently while working at a desk, on a computer or with other standard office equipment, or while in meetings. Position requires frequent movement of wrist, hands and fingers for continuous computer work. Requires the ability to verbally communicate and exchange accurate information to customers and associates on a regular basis. Requires visual acuity to read and interpret a variety of correspondence, procedures, reports and forms via paper and electronic documents, visual inspection involving small defects; Visual acuity is required to determine accuracy, neatness, and thoroughness of work. Requires the ability to prepare written correspondence, reports and forms using prescribed formats and conforming to rules of punctuation, grammar, diction, and style on a regular basis.
