THIS AGREEMENT GOVERNS YOUR ACQUISITION AND USE OF OUR SERVICES. IT WILL ALSO GOVERN FREE TRIAL AND SERVICES IF YOU ARE REGISTERED FOR A FREE TRIAL OF OUR SERVICES.
BY ACCEPTING THIS AGREEMENT, BY EXECUTING AN ORDER FORM THAT REFERENCES THIS AGREEMENT OR BY USING ANY SERVICES BEING OFFERED BY US, YOU AGREE TO THE TERMS OF THIS AGREEMENT.
IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY AND ITS AFFILIATES TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERMS "YOU" OR "YOUR" SHALL REFER TO SUCH ENTITY AND ITS AFFILIATES. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE THE SERVICES.
ADDITIONAL TERMS AND CONDITIONS MAY APPEAR ON THE REGISTRATION WEB PAGE. SUCH ADDITIONAL TERMS AND CONDITIONS ARE INCORPORATED IN TO THIS AGREEMENT BY REFERENCE AND ARE LEGALLY BINDING BETWEEN THE PARTIES TO THIS AGREEMENT.
THE SERVICE SHOULD NOT BE ACCESSED FOR MONITORING AVAILABILITY, FUNCTIONALITY OR ANY OTHER BENCHMARKING OR COMPETITIVE PURPOSE. THE SERVICE SHOULD NOT BE ACCESSED BY A COMPETITOR OR ANY ONE DIRECTLY OR INDIRECTLY WORKING ON BEHALF OF THE COMPETITOR WITHOUT A PRIOR WRITTEN CONSENT.

This Agreement is effective between You and Us as of the date of Your accepting this Agreement.

Use and Disclosure of Information on Y-Axis Jobsite

Contact Information shared by you

When you give Y-Axis Jobsite contact information (such as your name and email address) and other forms of Personal and Non-Personal Data, you agree that Y-Axis Jobsite may utilize this details for the purposes outlined in Jobsite operations, to the extent applicable. In particular, you agree that Y-Axis Jobsite may, as part of its services to you, communicate with you, or initiate communication with you on behalf of a third party, through your account on Y-Axis Jobsite or through other means such as email, telephone (including mobile phone), or postal-mail, including through the use of contact information that you may provide to Y-Axis Jobsite or that Y-Axis Jobsite may otherwise obtain from third-party resources.

Details shared through your Resume

Your information, including Personal Details, gets placed on the Jobsite when you upload or edit your profile/resume. Y-Axis Jobsite reserves the right to charge the third parties a fee for accessing your information, including Personal Data, as part of Y-Axis Jobsite’s services. After receiving your consent to make the information public to employers, Y-Axis Jobsite may also send your Profile details to Employers if you choose to apply for a job listing on the Y-Axis Jobsite. The extent to which your profile details is made available to Employers depends on the privacy settings you choose on Account page on the Y-Axis Jobsite, in accordance with this Agreement. When a Job Aspirant creates a profile on Y-Axis Jobsite, they are given the option to make their profile public or private. This is detailed below.

(a) Private Candidate Profiles

Private profiles are only made available to Employers to whom the Job Aspirant has initiated an application to or provided their consent to apply. When this occurs, you would enable your resume, your name and other Personal information that you have mentioned on your profile available to Employers. Those Employers may be interested in you as an employee, and may choose to forward your profile details to other Employers.

(b) Public Candidate Profiles

Public profiles are available to anyone with access to Y-Axis Jobsite’s ‘Find Experts’ search application, in order to increase the visibility of that profile and help Y-Axis Jobsite find you a job. When this happenss, you make your profile, your name and other Personal information that you have mentioned on your profile available to Employers. Those Employers may be interested in you as an employee, and may forward your resume to other Employers.
If you make yours a public profile, this may be searched by, and displayed through search engines when someone searches for your name. This means that employers can view the Personal information contained in your profile and you may receive request to contact from parties not affiliated with Y-Axis Jobsite and for whom Y-Axis Jobsite has no responsibility. If you post a public profile on Y-Axis Jobsite, please note that although Y-Axis Jobsite expressly prohibits any parties from the scraping of its Jobsite any resume you post publicly is public information and the content may be copied by a third party in violation of these terms.
For public profiles, you also authorize Y-Axis Jobsite to remove your name from your public profile, in certain instances. Y-Axis Jobsite may also change the display of your profile from public profile to private profile in certain instances to maintain the quality of the Experts Database.

(c) Switching Your Resume Privacy Settings

You will be given the option to switch your profile between private or public when you place your profile on Y-Axis Jobsite. You can change this setting at any point by accessing and modifying your account settings on Y-Axis Jobsite. Where you adjust your profile from public to private, Y-Axis Jobsite does not warrant how often third-party search engines will update their caches, which may continue to contain your profile information.

2. FREE TRIAL AND FREE SERVICES

2.1 If You register on Our website for a FREE TRIAL, one or more Services will be made available to You on a trial basis free of charge until the end of the free trial period or on purchase of any Service subscription by You. Termination of Free Trial is at our sole discretion.

2.2 ANY DATA YOU ENTER INTO THE SERVICES, AND ANY CUSTOMIZATIONS MADE TO THE SERVICES BY OR FOR YOU, DURING YOUR FREE TRIAL WILL BE PERMANENTLY LOST UNLESS YOU PURCHASE A SUBSCRIPTION TO THE SAME OR UPGRADED SERVICES OR EXPORT SUCH DATA, BEFORE THE END OF THE TRIAL PERIOD. YOU CANNOT TRANSFER ‘DATA ENTERED’ OR ‘CUSTOMIZATIONS MADE’ DURING THE FREE TRIAL TO A SERVICE THAT WOULD BE A DOWNGRADE FROM THAT COVERED BY THE TRIAL (E.G., FROM PREMIUM EDITION TO STANDARD EDITION); THEREFORE, IF YOU PURCHASE A SERVICE THAT WOULD BE A DOWNGRADE FROM THAT COVERED BY THE TRIAL, YOU MUST EXPORT YOUR DATA BEFORE THE END OF THE TRIAL PERIOD OR YOUR DATA WILL BE PERMANENTLY LOST.

2.3 NOTWITHSTANDING SECTIONS 9 (REPRESENTATIONS, WARRANTIES, EXCLUSIVE REMEDIES AND DISCLAIMERS) AND 10.1 (INDEMNIFICATION BY US), DURING THE FREE TRIAL THE SERVICES ARE PROVIDED “AS-IS” WITHOUT ANY WARRANTY AND Y-AXIS SHALL HAVE NO INDEMNIFICATION OBLIGATIONS WITH RESPECT TO THE SERVICES FOR THE FREE TRIAL PERIOD. WITHOUT LIMITING THE FOREGOING, Y-AXIS DOES NOT REPRESENT OR WARRANT TO YOU THAT: (A) YOUR USE OF THE SERVICES DURING THE FREE TRIAL PERIOD WILL MEET YOUR REQUIREMENTS, (B) YOUR USE OF THE SERVICES DURING THE FREE TRIAL PERIOD WILL BE UNINTERRUPTED, TIMELY, SECURE OR FREE FROM ERROR, AND (C) USAGE DATA PROVIDED DURING THE FREE TRIAL PERIOD WILL BE ACCURATE. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN SECTION 11.1 (LIMITATION OF LIABILITY), YOU SHALL BE FULLY LIABLE UNDER THIS AGREEMENT TO Y-AXIS FOR ANY DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES DURING THE FREE TRIAL PERIOD, ANY BREACH BY YOU OF THIS AGREEMENT AND ANY OF YOUR INDEMNIFICATION OBLIGATIONS HEREUNDER.

Please review the applicable Service’s Documentation during the trial period so that You become familiar with the features and functions of the Services before You make Your purchase.

2.4 Y-AXIS may make FREE SERVICES available to You subject to the terms and conditions of this Agreement. Not withstanding anything to the contra anywhere in this Agreement, please note that Free Services are provided to you without charge up to certain limits as described in the Documentation. Usage over these limits requires your purchase of additional resources or services. You agree that Y-Axis, in its sole discretion and for any or no reason, may terminate your access to the Free Services or any part thereof. You agree that any termination of your access to the Free Services may be without prior notice, and you agree that Y-Axis will not be liable to you or any third party for such termination. You are solely responsible for exporting Your Data from the Free Services prior to termination of Your access to the Free Services for any reason, provided that if We terminate your account, except as required by law We will provide you a reasonable opportunity to retrieve Your Data.

2.5 NOTWITHSTANDING SECTIONS 9 (REPRESENTATIONS, WARRANTIES, EXCLUSIVE REMEDIES AND DISCLAIMERS) AND 10.1 (INDEMNIFICATION BY US), THE FREE SERVICES ARE PROVIDED “AS-IS” WITHOUT ANY WARRANTY AND Y-Axis SHALL HAVE NO INDEMNIFICATION OBLIGATIONS. WITHOUT LIMITING THE FOREGOING, Y-Axis DO NOT REPRESENT OR WARRANT TO YOU THAT: (A) YOUR USE OF THE FREE SERVICES WILL MEET YOUR REQUIREMENTS, (B) YOUR USE OF THE FREE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR FREE FROM ERROR, AND (C) USAGE DATA PROVIDED THROUGH THE FREE SERVICES WILL BE ACCURATE. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN SECTION 11.1 (LIMITATION OF LIABILITY), YOU SHALL BE FULLY LIABLE UNDER THIS AGREEMENT TO Y-Axis AND ITS AFFILIATES FOR ANY DAMAGES ARISING OUT OF YOUR USE OF THE FREE SERVICES, ANY BREACH BY YOU OF THIS AGREEMENT AND ANY OF YOUR INDEMNIFICATION OBLIGATIONS HEREUNDER.

3.Privacy Policy

1. Introduction

Y-Axis values the trust our users and customers place in us when they give us access to their personal Information. The Privacy Policy describes how we work to maintain that trust and protect that information.

In particular, this Privacy Policy details our collection, use and disclosure of personal and non-personal Information you give to Y-Axis when you access or use Y-Axis’s online and/or mobile services and websites, and software provided by Y-Axis on or in connection with such services or websites (collectively, the “Site”).

1.1 Y-Axis Information

All references to Job Seeker and Employer are defined as provided for in the Y-Axis Terms of Service Introduction.

With respect to Job Seekers, for the purposes of this Privacy Policy, “Y-Axis” or “we” means Y-Axis, Inc.

1.2 Personal Information

Personal Information (“Personal Information”) refers to any information that relates to an identified or identifiable individual, and non-personal Information (“Non-Personal Information”) refers to any information that does not identify you as a specific individual. Please note that at all times Y-Axis will adhere to the applicable statutory definition in determining what is and is not Personal Information for the purposes of this Privacy Policy. Where this Privacy Policy refers to “information” or “your information” this may include both Personal and Non-Personal Information.

1.3 Privacy Policy

This Privacy Policy covers only Information that we collect through the Site, and not any other Information collection or processing, including, without limitation, the Information collection practices of any affiliate or other third party, including any third-party operators of web pages to which the Site links, and any information that we collect offline or through any websites, products, or services that do not display a direct link to this Privacy Policy.

Occasionally, we may refer to this Privacy Policy in notices on the Site, including special purpose web pages, mobile applications, or other resources, for example, if we invite you to submit ideas to improve the Site. This Privacy Policy applies to information collected by us through such special purpose resources, as modified in the particular notice (e.g., with respect to the types of Information collected or our uses or disclosures of such information). Y-Axis may amend this Privacy Policy at any time.

1.4 Changes to the Privacy Policy

Please review the “Last Updated” legend at the top of this page to determine when this Privacy Policy was last amended. Any changes to this Privacy Policy will become effective on the “Last Updated” date indicated above. By using the Site or providing information to us following such changes, you will have accepted the amended Privacy Policy. If Y-Axis is going to use Personal Information collected through the Site in a manner materially different from that stated at the time of collection, then Y-Axis will notify users via email and/or by posting a notice on Y-Axis’s Site for 30 days prior to such use or by other means as required by law.

2. Information Collected

You provide different types of information in order for Y-Axis to provide our services, products and features to you.

2.1 Information You Provide to Y-Axis
– From Your Account

We collect Information from you when you create an Y-Axis account, request information, subscribe for a service, participate in a survey, post a rating or review, post a question or answer, post a resume, complete an Y-Axis Assessment, upload content or otherwise actively send us Information on our Site. This may include, but is not limited to, your user name, password, first and last name, email address, telephone number (including mobile phone number), street address, gender, occupation, interests, messages you send to users, and any other Information included in a submitted profile or resume, including but not limited to application materials and answers to screener questions submitted to Employers through Y-Axis and answers you give to any questionnaires sent to you, which you answer.

– Through Your Activity on Y-Axis

In addition, as part of the standard operation of the Site, Y-Axis may collect and analyze information from your computer or mobile device and actions taken on the Site, including, but not limited to, your resume, your searches on Y-Axis, the titles of jobs you search, click on or apply to, where those jobs are located, salary interest or experience, the general salary range or experience level of the jobs you view (where indicated), your activity time on the Site and each page, page views, clicks, taps, session activity, browser type, operating system, type of device, MAC address, IP address and the domain name from which you accessed the Site. When you submit a photo to Job Spotter, this may include the provision of the location Information of where the photo was taken. Y-Axis seeks your consent at the time of such provision, and such processing will only be performed where consent is secured.

– When Providing Employer Information

If you are an Employer, Y-Axis may request that you provide certain Personal Information to Y-Axis in order to verify your account. This information may include, but may not be limited to, your Federal Employer Identification Number (EIN), Business Registration information, or a utility bill, the name and email address of an Employer representative.

This information will be used for internal purposes only, subject to any request by law enforcement or a court order. In connection with chargeable services, we will also collect payment information (e.g., the last four digits of credit card numbers and related verification information). Please note that Y-Axis only has access to the last four digits of Employer credit card numbers, and does not store full credit card numbers.

2.2 Information Collected When You Apply for Jobs or Access Y-Axis from Some Third-Party Websites
– When You Apply to Jobs on Some Third-Party Sites

Y-Axis may also collect information about web sites and web pages you visit through our mobile software or while using Y-Axis for Chrome about job postings that you save, notes or applications statuses that you save or update, or Information regarding how you engage with websites or other actions you take on such website, including URLs of websites you visit. We do this in order to allow a Job Seeker to keep a record of particular Job Listings of interest, to detect a job application form on a third-party website to give a Job Seeker the option to auto-fill parts of the form using Y-Axis Resume, or to confirm an application. Y-Axis for Chrome also allows Y-Axis to learn about what types of jobs and Y-Axis product features are of interest to you, so that we can provide you with improved job listing searches, job listing recommendations and product features.

– When You Log In or Use Y-Axis from Some Third-Party Sites

You may also create an account or log in to your Y-Axis account using third-party websites including, but not limited to, Facebook or Google. If you do not already have an Y-Axis account but log in to Y-Axis using your Facebook or Google account, this creates an Y-Axis account using the same email address used in your Facebook or Google account. If you agree to provide this information to Y-Axis, Facebook or Google will authenticate you and redirect you to Y-Axis’s Site. Please note, when you log in to Y-Axis using your Facebook or Google account, Facebook or Google will cookie you in order to authenticate you as a Facebook or Google user.

By accessing Y-Axis through your Facebook or Google account, you understand that Facebook or Google will share certain Information detailed above in this paragraph for the purposes of authentication to permit you to access our Site in a secure manner. You may stop this at any point from your Facebook or Google account. This information will be considered Y-Axis account information for purposes of your use of the Site.

You have the ability to disable the connection between your Facebook or Google account and your Y-Axis account at any time by accessing your privacy settings on your Facebook or Google account. Facebook may also ask for your permission to share certain other details with Y-Axis, including but not limited to your name, profile picture, public profile information, and email address. For those users that avail of Y-Axis Family specifically, Facebook may ask for permission to share your friends list, and Y-Axis may use some of this Information to connect you with other users of Y-Axis Family.

PLEASE NOTE THAT YOUR RELATIONSHIP WITH FACEBOOK OR GOOGLE OR ANY OTHER THIRD-PARTY WEBSITE IS GOVERNED SOLELY BY YOUR AGREEMENT WITH SUCH THIRD-PARTY WEBSITE. 2.4 Storage of Your Information

Y-Axis shall retain users’ Personal Information to the extent such retention is adequate, relevant and limited to what is necessary for the purposes for which they are processed. In particular, Y-Axis shall not retain Personal Information for any longer than necessary for the purposes of performing the processing outlined in this Privacy Policy.

If you create an Y-Axis account, your information may be collected and stored in a manner that connects to your account email address. Y-Axis may also create and assign to your device an identifier that is similar to an account number. We may collect the name you have associated with your device, device type, telephone number, country, and any other information you choose to provide, such as user name, email address, or zip code. For example, while using a mobile device to access Y-Axis, Y-Axis may provide a Job Seeker with relevant job postings that are located within the same zip code as where this activity is taking place. The collection of this Information is solely used in accordance with the purposes outlined in sections 4, 5 and 9 of this Privacy Policy, to the extent applicable.

Y-Axis may also store the information detailed in this section 2 of the Privacy Policy on its equipment or the equipment of third parties that Y-Axis has a relationship with. Such storage services will be governed by appropriate protections, as required by applicable rules.

2.5 What Personal Information is Required

Y-Axis will indicate to you at the point of provision as to whether or not particular Personal Information provided by you is required in order to provide particular Y-Axis services or features to you. Where Personal Information that is required is not provided by you then the particular feature or service may not be available to you.

2.6 The Legal Basis on Which Y-Axis Collects Your Personal Information

Y-Axis collects and processes your Personal Information on the basis of different legal grounds, depending on the nature of the Personal Information being provided and the type of processing involved. More information is provided on this here.

– Performance of a Contract

Most of the Personal Information processed by Y-Axis is performed on the basis that it is necessary for the performance of our agreement with you, or in order to take steps at the request of the user prior to entering such an agreement. An example of this would be where Y-Axis matches Job Seekers with Employers.

– Legitimate Interest

A second ground relied upon by Y-Axis for other types of processing of your Personal Information is that it is necessary for the purposes of legitimate interests pursued by Y-Axis. Such legitimate interests will include where Y-Axis sends you marketing about our products and services, where we believe you have a reasonable expectation that we will perform a particular type of processing on your behalf, or where such processing is strictly necessary for fraud detection and prevention. Y-Axis will only rely on such a ground where an assessment has been performed balancing the interests and rights involved and the necessity of the processing in order to provide our services, products and features to you.

– Compliance with a Legal Obligation

A third ground relied upon for certain types of processing is that it is necessary in order to allow Y-Axis comply with a legal obligation. An example of this would be where Y-Axis is required to retain business records for fixed periods of time in order to comply with local legal requirements.

– Consent

Finally, in certain limited situations, Y-Axis relies on your consent in order to process your Personal Information. Where Y-Axis requires your consent in order to collect and process certain Personal Information, we seek your consent at the time of provision, and such processing will only be performed where consent is secured. For example, your consent will be sought where you provide your location when you use Y-Axis’s Job Spotter, or in certain instances where you initiate a job alert with Y-Axis (detailed in section 4 of this Privacy Policy). You can withdraw your consent, as detailed in section 14 of this Privacy Policy where applicable, or by sending an email to privacy-dept @ Y-Axis.com (remove spaces when sending email).

3. Limitation of Use

3.1 Where a Job Seeker Wants to Close a Job Seeker Account

When a Job Seeker closes an account, the Job Seeker will no longer have access to any of the Information we make available under that account name, including but not limited to, search history, job search preferences, saved jobs, jobs the Job Seeker has applied to, job alerts, resume, and any other Information associated with the account. If the Job Seeker uses the same email address to set up a new account, this Information from a previous account will not become available to the Job Seeker again. Please also note that closing your Job Seeker account may result in you losing access to all Y-Axis products and the ability to utilize the “Log in with Y-Axis” feature found on certain third party sites.

Y-Axis reserves the right to keep any materials in a closed account as necessary to preserve and protect its rights to the extent permitted by law (for example, to preserve records of a dispute) or to comply with its obligations under local law (for example, if requested to retain by law enforcement). A closed account does not mean that all of the Information is expunged from the Y-Axis systems, although it will not be readily available under the Job Seeker’s original account name. When the Job Seeker presses the close account button on the dashboard, Y-Axis will begin to process that instruction within 24 hours and will have completed the operation within 40 days.

If a Job Seeker wishes to access or delete their Personal Information held by Y-Axis, they should follow the steps listed in section 10 of this Privacy Policy, and such a request will be processed in accordance with applicable rules.

3.2 Where an Employer Wants to Close an Employer Account

Employers may close an account at any time by contacting Y-Axis Customer Support. Please note that Y-Axis must preserve business records pertaining to that account to comply with its obligations under law. Alternatively, if an Employer agent wishes to access or delete their Personal Information held by Y-Axis, they should follow the steps listed in section 10 of this Privacy Policy, and such a request will be processed in accordance with applicable rules.

3.3 Where a Job Seeker Wants to Delete a Job Application

If a Job Seeker wants to delete a job application performed on Y-Axis’s Site, they are advised to contact the prospective Employer directly to request deletion of their application. For job applications which you, the Job Seeker submit through Y-Axis (including the use of an Y-Axis Apply button) to an Employer, (with related materials submitted), please note: 1) that your applications and materials may be controlled by an Employer; 2) we may direct you to that Employer for Personal Information deletion requests where that Personal Information is held by that Employer; and 3) Y-Axis depends on the Employer or the Employer’s agent to provide Y-Axis with the correct destination for all applications.

3.4 Where the Employer Contact Details Provided to Y-Axis Are Incorrect

In the event that the electronic destination provided to Y-Axis is incorrect, your application materials will not be sent to the intended recipient of the application. Y-Axis has no liability for such applications. If you do not wish to send your application materials in this manner, you should send them directly to the Employer.

Opting Out of Receiving Marketing Communications

If you no longer want to receive marketing materials from us based upon your Personal Data, going forward, you may opt out of receiving such marketing related messages by clicking unsubscribe (or an equivalent action) where applicable, or by sending an email to account.manager @ Y-Axis.com (remove spaces when sending email). Please note that we may still send other messages to you, such as administrative messages. We will comply with your request as soon as reasonably practicable, and in accordance with applicable laws.

.4 Your Resume Information

Your information, including Personal Information, gets placed on the Site when you upload or edit a resume. Y-Axis reserves the right to charge third parties a fee for accessing your information, including Personal Information, as part of Y-Axis’s services. At your direction, Y-Axis may also send your resume to third parties if you choose to apply for a job listing. The extent to which your information is made available to third parties depends on the privacy settings you choose on Y-Axis, in accordance with this Privacy Policy. When a Job Seeker creates a resume on Y-Axis, they are given the option to make their resume public or private. This is detailed below.

– Private Resumes

Private resumes are only made available to those to whom the Job Seeker has initiated an application or provided their resume. Where this occurs, you make your resume, your name and other Personal Information that you place on your resume available to third parties. Those third parties may be interested in you as an employee, and may forward your resume to other third parties.

– Public Resumes

Public resumes are available to anyone with access to Y-Axis’s resume search application, in order to increase the visibility of that resume and help Y-Axis find you a job. Where this occurs, you make your resume, your name and other Personal Information that you place on your resume available to third parties. Those third parties may be interested in you as an employee, and may forward your resume to other third parties.

If you post a public resume, this may be crawled by, and displayed through search engines when someone searches for your name. This means that third parties can view the Personal Information contained in your resume and you may receive unsolicited contact from parties unaffiliated with Y-Axis and for whom Y-Axis has no responsibility. If you post a public resume on Y-Axis, please note that although Y-Axis expressly prohibits the scraping of its Site any resume you post publicly is public information and the content may be copied by a third party in violation of these terms.

For public resumes, you also authorize Y-Axis to remove your name from your public resume, in certain instances. Y-Axis may also change the display of your resume from public to private in certain instances to maintain the quality of the resume Information base.

4. OUR RESPONSIBILITIES

3.1 We will (a) make the Services and Content available to You pursuant to this Agreement and any applicable Order Forms, (b) provide standard support for the Purchased Services to You at no additional charge, and/or upgraded support if purchased, (c) use commercially reasonable efforts to make the online Purchased Services available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which We shall give advance electronic notice), and (ii) any unavailability caused by circumstances beyond our reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem and Internet service provider failure.

3.2 We will maintain administrative, physical, and technical safeguards for protection of the security, confidentiality and integrity of your data, as described in the Documentation. Those safeguards will include, but will not be limited to, measures for preventing access, use, modification or disclosure of your data by our personnel except (a) to provide the Purchased Services and prevent or address service or technical problems, (b) as compelled by law in accordance with Section 8.3 (Compelled Disclosure) below, or (c) as You expressly permit in writing. Except with respect to a Free Trial, to the extent that Y-Axis processes any Personal Data (as defined in the DPA) contained in Customer Data, on Customer’s behalf, in the provision of the Services, the terms of the data processing addendum at http://www.y-axis.com_______("DPA"), which are hereby incorporated by reference, shall apply and the parties agree to comply with such terms. For the purposes of the Standard Contractual Clauses attached to the DPA, when and as applicable, Customer and its applicable Affiliates are each the data exporter, and Customer's signing of this Agreement, and an applicable Affiliate's signing of an Order Form, shall be treated as signing of the Standard Contractual Clauses and their Appendices.

3.3 Beta Services: From time to time, We may make Beta Services available to You at no charge. You may choose to try such Beta Services or not in Your sole discretion. Beta Services are intended for evaluation purposes and not for production use, are not supported, and may be subject to additional terms. Beta Services are not considered “Services” under this Agreement, however, all restrictions, Our reservation of rights and Your obligations concerning the Services, and use of any related Non-Y Axis Applications and Content, shall apply equally to Your use of Beta Services. Unless otherwise stated, any Beta Services trial period will expire upon completion of one year from the trial start date or the date that a version of the Beta Services becomes generally available without the applicable Beta Services designation. We may discontinue Beta Services at any time in Our sole discretion and may never make them generally available. We will have no liability for any harm or damage arising out of or in connection with a Beta Service.

5. USE OF SERVICES AND CONTENT

5.1 Subscriptions: Unless otherwise provided in the applicable Order Form or Documentation, (a) Purchased Services and access to Content are purchased as subscriptions, (b) subscriptions for Purchased Services may be added during a subscription term at the same pricing as the underlying subscription pricing, prorated for the portion of that subscription term remaining at the time the subscriptions are added, and (c) any added subscriptions will terminate on the same date as the underlying subscriptions.

5.2 Usage Limits: Services and Content are subject to usage limits, including, for example, the quantities specified in Order Forms and Documentation. Unless otherwise specified, (a) a quantity in an Order Form refers to Users, and the Service or Content may not be accessed by more than that number of Users, (b) a User’s password may not be shared with any other individual, and (c) except as set forth in an Order Form, a User identification may only be reassigned to a new individual replacing one who will no longer use the Service or Content. If You exceed a contractual usage limit, We may work with You to seek to reduce Your usage so that it conforms to that limit. If, notwithstanding Our efforts, You are unable or unwilling to abide by a contractual usage limit, You will execute an Order Form for additional quantities of the applicable Services or Content promptly upon Our request, and/or pay any invoice for excess usage in accordance with Section 6.2 (Invoicing and Payment).

5.3 Your Responsibilities: You will (a) be responsible for Users’ compliance with this Agreement, Documentation and Order Forms, (b) be responsible for the accuracy, quality and legality of Your Data, the means by which You acquired Your Data and Your use of Your Data with our Services, (c) use commercially reasonable efforts to prevent unauthorised access to or use of Services and Content, and notify Us promptly of any such unauthorised access or use, (d) use Services and Content only in accordance with this Agreement, Documentation, Order Forms and applicable laws and government regulations, and (e) comply with terms of service of any Non-Y Axis Applications with which You use Services or Content.

5.4 Usage Restrictions: You will not (a) make any Service or Content available to anyone other than Users, or use any Service or Content for the benefit of, anyone other than You, unless expressly stated otherwise in an Order Form or the Documentation, (b) sell, resell, license, sublicense, distribute, make available, rent or lease any Service or Content, or include any Service or Content in a service bureau or outsourcing offering, (c) use a Service or Non-Y Axis Application to store or transmit infringing, libellous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights, (d) use a Service or Non-Y Axis Application to store or transmit Malicious Code, (e) interfere with or disrupt the integrity or performance of any Service or third- party data contained therein, (f) attempt to gain unauthorised access to any Service or Content or its related systems or networks, (g) permit direct or indirect access to or use of any Service or Content in a way that circumvents a contractual usage limit, or use of any of Our Services in a manner that violates Our Acceptable Use and External Facing Services Policy, or to access or use any of Our intellectual property except as permitted under this Agreement, an Order Form, or the Documentation, (h) modify, copy, or create derivative works based on a Service or any part, feature, function or user interface thereof, (i) copy Content except as permitted herein or in an Order Form or the Documentation, (j) frame or mirror any part of any Service or Content, other than framing on Your own intranets or otherwise for Your own internal business purposes or as permitted in the Documentation, or (k) disassemble, reverse engineer, or decompile a Service or Content, or access it to (1) build a competitive product or service, (2) build a product or service using similar ideas, features, functions or graphics of the Service, (3) copy any ideas, features, functions or graphics of the Service or (4) determine whether the Services are within the scope of any patent. Any use of the Services in breach of this Agreement, Documentation or Order Forms, by You or Users that in Our judgment threatens the security, integrity or availability of Our services, may result in Our immediate suspension of the Services, however We will use commercially reasonable efforts under the circumstances to provide You with notice and an opportunity to remedy such violation or threat prior to such suspension.

5.5 Removal of Content and Non-Y Axis Applications: If We are required by a licensor to remove Content, or receive information that Content provided to You may violate applicable law or third-party rights, We may so notify You and in such event You will promptly remove such Content from Your systems. If We receive information that a Non-Y Axis Application hosted on a Service by You may violate Our Acceptable Use and External-Facing Services Policy or applicable law or third-party rights, We may so notify You and in such event You will promptly disable such Non-Y Axis Application or modify the Non-Y Axis Application to resolve the potential violation. If You do not take required action in accordance with the above, We may disable the applicable Content, Service and/or Non-Y Axis Application until the potential violation is resolved.

6. NON-Y Axis PROVIDERS

6.1 We or third parties may make available third-party products or services, including, for example, Non-Y Axis Applications and implementation and other consulting services. Any acquisition by You of such products or services, and any exchange of data between You and any Non-Y Axis provider, product or service is solely between You and the applicable Non-Y Axis provider. We do not warrant or support Non-Y Axis Applications or other Non-Y Axis products or services, whether or not they are designated by Us as “certified” or otherwise, unless expressly provided otherwise in an Order Form.

6.2 If You choose to use a Non-Y Axis Application with a Service, You grant Us permission to allow the Non-Y Axis Application and its provider to access Your Data as required for the interoperation of that Non-Y Axis Application with the Service. We are not responsible for any disclosure, modification or deletion of Your Data resulting from access by such Non-Y Axis Application or its provider.

6.3 Interoperation with Non-Y Axis Applications. The Services may contain features designed to interoperate with Non-Y Axis Applications. To use such features, You may be required to obtain access to such Non-Y Axis Applications from their providers, and may be required to grant Us access to Your account(s) on such Non-Y Axis Applications. We cannot guarantee the continued availability of such Service features, and may cease providing them without entitling You to any refund, credit, or other compensation, if for example and without limitation, the provider of a Non-Y Axis Application ceases to make the the Application available for interoperation with the corresponding Service features in a manner acceptable to Us.

7. FEES AND PAYMENT FOR PURCHASED SERVICES

7.1 Fees: You will pay all fees specified in Order Forms. Except as otherwise specified herein or in an Order Form,(i) fees are based on Services and Content subscriptions purchased and not actual usage, (ii) payment obligations are non-cancellable and fees paid are non-refundable, and (iii) quantities purchased cannot be decreased during the relevant subscription term.

7.2 Invoicing and Payment: You will provide Us with a valid purchase order or alternative document reasonably acceptable to Us. If You provide credit card information to Us, You authorise Us to charge such credit card for all Purchased Services listed in the Order Form for the initial subscription term and any renewal subscription term(s) as set forth in Section 12.2 (Term of Purchased Subscriptions). Such charges shall be made in advance, either annually or in accordance with any different billing frequency stated in the applicable Order Form. If the Order Form specifies that payment will be by a method other than a credit card, We will invoice You in advance and otherwise in accordance with the relevant Order Form. Unless otherwise stated in the Order Form, invoiced charges are due net 30 days from the invoice date. You are responsible for providing complete and accurate billing and contact information to Us and notifying Us of any changes to such information.

7.4 Suspension of Service and Acceleration: If any amount owing by You under this or any other agreement for Our services is 30 or more days overdue, We may, without limiting Our other rights and remedies, accelerate Your unpaid fee obligations under such agreements so that all such obligations become immediately due and payable, and suspend Our services to You until such amounts are paid in full. We will give You at least 10 days’ prior notice that Your account is overdue, in accordance with Section 13.2 (Manner of Giving Notice) for billing notices, before suspending services to You.

7.5 Taxes: Our fees do not include any taxes, levies, duties or similar governmental assessments of any nature, including, for example, value -added, sales, use or withholding taxes, assessable by any jurisdiction whatsoever (collectively, “Taxes”). You are responsible for paying all Taxes associated with Your purchases hereunder. If We have the legal obligation to pay or collect Taxes for which You are responsible under this Section 6.5, We will invoice You and You will pay that amount unless You provide Us with a valid tax exemption certificate authorised by the appropriate taxing authority.

7.6 Future Functionality: You agree that Your purchases are not contingent on the delivery of any future functionality or features, or dependent on any oral or written public comments made by Us regarding future functionality or features.

8. PROPRIETARY RIGHTS AND LICENSES

8.1 Subject to the limited rights expressly granted hereunder, We and Our Affiliates, Our licensors and Content Providers reserve all of Our/their right, title and interest in and to the Services and Content, including all of Our/their related intellectual property rights. No rights are granted to You hereunder other than as expressly set forth herein.

8.2 You have the right to access and use applicable Content subject to the terms of applicable Order Forms, this Agreement and the Documentation.

8.3 License to Host Your Data and Applications: You grant Us, Our Affiliates and applicable contractors a worldwide, limited-term license to host, copy, display and use any Non-Y Axis Applications and program code created by or for You using a Service or for use by You with the Services, and Your Data, each as reasonably necessary for Us to provide, and ensure proper operation of, our Services and associated systems in accordance with this Agreement. Subject to the limited licenses granted herein, We acquire no right, title or interest from You or Your licensors under this Agreement in or to any of Your Data, Non-Y Axis Application or such program code.

8.4 You grant to Us and Our Affiliates a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate into Our and/or Our Affiliates’ services any suggestion, enhancement request, recommendation, correction or other feedback provided by You or Users relating to the operation of Our or Our Affiliates’ services.

9. CONFIDENTIALITY

9.1 “Confidential Information” means all information disclosed by a party (“Disclosing Party”) to the other party (“Receiving Party”), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Your Confidential Information includes Your Data; Our Confidential Information includes the Services and Content; and Confidential Information of each party includes the terms and conditions of this Agreement and all Order Forms (including pricing), as well as business and marketing plans, technology and technical information, product plans and designs, and business processes disclosed by such party. However, Confidential Information does not include any information that (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party, (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party, (iii) is received from a third party without breach of any obligation owed to the Disclosing Party, or (iv) was independently developed by the Receiving Party.

9.2 The Receiving Party will use the same degree of care that it uses to protect the confidentiality of its own confidential information of like kind (but not less than reasonable care) to (i) not use any Confidential Information of the Disclosing Party for any purpose outside the scope of this Agreement and (ii) except as otherwise authorised by the Disclosing Party in writing, limit access to Confidential Information of the Disclosing Party to those of its and its Affiliates’ employees and contractors who need that access for purposes consistent with this Agreement and who have signed confidentiality agreements with the Receiving Party containing protections not materially less protective of the Confidential Information than those herein. Neither party will disclose the terms of this Agreement or any Order Form to any third party other than its Affiliates, legal counsel and accountants without the other party’s prior written consent, provided that a party that makes any such disclosure to its Affiliate, legal counsel or accountants will remain responsible for such Affiliate’s, legal counsel’s or accountant’s compliance with this “Confidentiality” section. Notwithstanding the foregoing, We may disclose the terms of this Agreement and any applicable Order Form to a subcontractor or Non-Y Axis Application Provider to the extent necessary to perform Our obligations to You under this Agreement, under terms of confidentiality materially as protective as set forth herein.

9.3 Compelled Disclosure. The Receiving Party may disclose Confidential Information of the Disclosing Party to the extent compelled by law to do so, provided the Receiving Party gives the Disclosing Party prior notice of the compelled disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party's cost, if the Disclosing Party wishes to contest the disclosure. If the Receiving Party is compelled by law to disclose the Disclosing Party’s Confidential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to that Confidential Information.

9.4 Y-Jobs will be sending emails to employers on the client's behalf from the client's Gmail through APIs. The client will be asked to authorize Gmail to provide Y-Jobs a token that will be used to send emails on the client's behalf. Any data provided by Gmail through this process will never be shared with any third party and will only be used to send emails to employers. A proper consent will be taken from the client and during the consent, a proper message will be displayed for the use of data provided by G-Mail. Y-Jobs reserves the right to reject any services at any stage of the process if it is noticed that the terms and conditions have not been complied with

10. REPRESENTATIONS, WARRANTIES, EXCLUSIVE REMEDIES AND DISCLAIMERS

10.1 Each party represents that it has validly entered into this Agreement and has the legal power to do so.

10.2 We warrant that during an applicable subscription term (a) this Agreement, the Order Forms and the Documentation will accurately describe the applicable administrative, physical, and technical safeguards for protection of the security, confidentiality and integrity of Your Data, (b) We will not materially decrease the overall security of the Services, (c) the Services will perform materially in accordance with the applicable Documentation, and (d) subject to the “Integration with Non-Y Axis Applications” section above, We will not materially decrease the overall functionality of the Services. For any breach of a warranty above, Your exclusive remedies are those described in the “Termination” and “Refund or Payment upon Termination” sections below.

10.3 Disclaimers: EXCEPT AS EXPRESSLY PROVIDED HEREIN, NEITHER PARTY MAKES ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND EACH PARTY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. CONTENT AND BETA SERVICES ARE PROVIDED “AS IS,” EXCLUSIVE OF ANY WARRANTY WHATSOEVER. EACH PARTY DISCLAIMS ALL LIABILITY AND INDEMNIFICATION OBLIGATIONS FOR ANY HARM OR DAMAGES CAUSED BY ANY THIRD-PARTY HOSTING PROVIDERS.

11. INDEMNIFICATION

You will defend Us and Our Affiliates against any claim, demand, suit or proceeding made or brought against Us by a third party alleging that (a) any of Your Data or Your use of Your Data with our Services, (b) a Non-Y Axis Application provided by You, or (c) the combination of a Non-Y Axis Application provided by You and used with Our Services, infringes or misappropriates such third party’s intellectual property rights, or arising from Your use of the Services or Content in an unlawful manner or in violation of the Agreement, the Documentation, or Order Form (each a “Claim Against Us”), and You will indemnify Us from any damages, attorney fees and costs finally awarded against Us as a result of, or for any amounts paid by Us under a settlement approved by You in writing of, a Claim Against Us.

12. LIMITATION OF LIABILITY

11.1 IN NO EVENT SHALL THE AGGREGATE LIABILITY OF EACH PARTY TOGETHER WITH ALL OF ITS AFFILIATES ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT PAID BY YOU AND YOUR AFFILIATES HEREUNDER FOR THE SERVICES GIVING RISE TO THE LIABILITY IN THE TWELVE MONTHS PRECEDING THE FIRST INCIDENT OUT OF WHICH THE LIABILITY AROSE. THE FOREGOING LIMITATION WILL APPLY WHETHER AN ACTION IS IN CONTRACT OR TORT AND REGARDLESS OF THE THEORY OF LIABILITY, BUT WILL NOT LIMIT YOUR AND YOUR AFFILIATES’ PAYMENT OBLIGATIONS UNDER THE “FEES AND PAYMENT” SECTION ABOVE.

12.2 Exclusion of Consequential and Related Damages: IN NO EVENT WILL EITHER PARTY OR ITS AFFILIATES HAVE ANY LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT FOR ANY LOST PROFITS, REVENUES, GOODWILL, OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER, BUSINESS INTERRUPTION OR PUNITIVE DAMAGES, WHETHER AN ACTION IS IN CONTRACT OR TORT AND REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF A PARTY OR ITS AFFILIATES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF A PARTY’S OR ITS AFFILIATES’ REMEDY OTHERWISE FAILS OF ITS ESSENTIAL PURPOSE.

13. TERM AND TERMINATION

13.1 This Agreement commences on the date You first accept it and continues until all subscriptions hereunder have expired or have been terminated.

12.2 Term of Purchased Subscriptions: The term of each subscription shall be as specified in the applicable Order Form. Except as otherwise specified in an Order Form, subscriptions will automatically renew for additional periods equal to the expiring subscription term or one year (whichever is shorter), unless either party gives the other notice of non-renewal at least 30 days before the end of the relevant subscription term. The per-unit pricing during any renewal term will increase by up to __% above the applicable pricing in the prior term, unless We provide You notice of different pricing at least 30 days prior to the applicable renewal term. Except as expressly provided in the applicable Order Form, renewal of promotional or one-time priced subscriptions will be at Our applicable list price in effect at the time of the applicable renewal. Notwithstanding anything to the contrary, any renewal in which subscription volume for any Services has decreased from the prior term will result in re-pricing at renewal without regard to the prior term’s per-unit pricing.

13.3 Termination: A party may terminate this Agreement for cause (i) upon 30 days written notice to the other party of a material breach if such breach remains uncured at the expiration of such period, or (ii) if the other party becomes the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation or assignment for the benefit of creditors.

13.4 Payment upon Termination: If this Agreement is terminated in accordance with Section 12.3 for reasons relatable to you, You will pay any unpaid fees covering the remainder of the term of all Order Forms. In no event will termination relieve You of Your obligation to pay any fees payable to Us for the period prior to the effective date of termination.

13.5 Your Data Portability and Deletion: Upon request by You made within 30 days after the effective date of termination or expiration of this Agreement, We will make Your Data available to You for export or download as provided in the Documentation. After such 30-day period, We will have no obligation to maintain or provide any Your Data, and as provided in the Documentation will thereafter delete or destroy all copies of Your Data in Our systems or otherwise in Our possession or control, unless legally prohibited.

13.6 Surviving Provisions: The sections titled “Free Services,” “Fees and Payment,” “Proprietary Rights and Licenses,” “Confidentiality,” “Disclaimers,” “Mutual Indemnification,” “Limitation of Liability,” “Refund or Payment upon Termination,” “Your Data Portability and Deletion,” “Removal of Content and Non-Y Axis Applications,” “Surviving Provisions” and “General Provisions” will survive any termination or expiration of this Agreement.

14. WHOM YOU ARE CONTRACTING WITH, NOTICES, GOVERNING LAW AND JURISDICTION

14.1 Manner of Giving Notice:  Except as otherwise specified in this Agreement, all notices related to this Agreement will be in writing and will be effective upon (a) personal delivery, (b) the second business day after mailing, or (c), except for notices of termination or an indemnifiable claim (“Legal Notices”), which shall clearly be identifiable as Legal Notices, the day of sending by email. Billing-related notices to You will be addressed to the relevant billing contact designated by You. All other notices to You will be addressed to the relevant Services system administrator designated by You.

14.2 Jurisdiction: Each party agrees that the Courts at Hyderabad will have exclusive jurisdiction as regards any issue arising out of this Agreement.

14.3 For the avoidance of doubt, We are entering into this Agreement as principal and not as agent for any other company. Subject to any permitted Assignment under Section 14.4, the obligations owed by Us under this Agreement shall be owed to You solely by Us and the obligations owed by You under this Agreement shall be owed solely to Us.

15. GENERAL PROVISIONS

15.1 The Services, Content, other technology We make available, and derivatives thereof may be subject to export laws and regulations. Each party represents that it is not named on any government denied-party list. You shall not permit Users to access or use any Service or Content in a U.S. embargoed country (currently Cuba, Iran, North Korea, Sudan, Syria or Crimea) or in violation of any export law or regulation.

15.2 You agree that You have not received or been offered any illegal or improper bribe, kickback, payment, gift, or thing of value from any of Our employees or agents in connection with this Agreement. Reasonable gifts and entertainment provided in the ordinary course of business do not violate the above restriction. If You learn of any violation of the above restriction, You will use reasonable efforts to promptly notify Us.

15.3 This Agreement is the entire agreement between You and Us regarding Your use of Services and Content and supersedes all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter. Except as otherwise provided herein, no modification, amendment, or waiver of any provision of this Agreement will be effective unless in writing and signed by the party against whom the modification, amendment or waiver is to be asserted. The parties agree that any term or condition stated in Your purchase order or in any other of Your order documentation (excluding Order Forms) is void. In the event of any conflict or inconsistency among the following documents, the order of precedence shall be: (1) the applicable Order Form, (2) this Agreement, and (3) the Documentation.

15.4 Neither party may assign any of its rights or obligations hereunder, whether by operation of law or otherwise, without the other party’s prior written consent (not to be unreasonably withheld); provided, however, either party may assign this Agreement in its entirety (together with all Order Forms), without the other party’s consent to its Affiliate or in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets. Notwithstanding the foregoing, if a party is acquired by, sells substantially all of its assets to, or undergoes a change of control in favour of, a direct competitor of the other party, then such other party may terminate this Agreement upon written notice. In the event of such a termination, We will refund to You any prepaid fees allocable to the remainder of the term of all subscriptions for the period after the effective date of such termination. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their respective successors and permitted assigns.

15.5 The parties are independent contractors. This Agreement does not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship between the parties.

15.6 There are no third-party beneficiaries under this Agreement.

15.7 No failure or delay by either party in exercising any right under this Agreement will constitute a waiver of that right.

    4. Submission of fraudulent documents.
    5. Prior violation of any immigration or visa law by the client or any of his or her family members included in the application.
    6. Late submission of any additional documents requested by the consulate at a later stage.

Y-Axis Overseas Careers reserves the right to not issue a refund as per our policies and in line with this agreement.

Refund if issued, will be processed within 30 days after you have filled in the refund request form and provided proof of rejection if any.

By agreeing to our terms and conditions, you agree you will not ask for a charge back under any circumstances.

Refunds for payments received will be issued as a company check. The refund check will be made payable to the person on the order form and mailed to the address indicated on the order form.

You, hereby agree that you will not contact your Credit Card Company or bank to file a dispute as this will only delay the refund process.
