What You’ll Do: Reporting to the Chief Legal Officer, the Senior/Director, Intellectual Property, Contract and Licensing Counsel is responsible for IP strategy and licensing/transactional support. This role manages global patent and trademark portfolios, supports due diligence and business development, and drafts and negotiates IP and related agreements. This is a remote role with travel to the office in New Providence, NJ as needed. Responsibilities: Manage/oversee ADCT’s global patent and trademark portfolios. Coordinate and manage interactions with external patent and trademark counsel and oversee IP budget. Provide legal advice and support to organization for all IP-related matters. Draft, review, revise and, negotiate a variety of contracts, including but not limited to, in- and out-license, material transfer, confidentiality, development and manufacturing, services, and other supply chain agreements. Provide general legal advice and support for business development, strategic partnerships, and corporate transactional activity as needed. Prepare and review certain other legal documents, e.g. powers of attorney, IP assignment agreements, etc. Other duties assigned by the Chief Legal Officer. Requirements Who You Are: J.D. from an accredited ABA law school. Licensed to practice law in good standing in at least one U.S. jurisdiction. Registered to practice before the USPTO preferred. Minimum 7-10 years of legal experience with at least 5 years direct and relevant experience working in-house at a pharma/biotech company or experience with a law firm with direct client exposure to life sciences companies. Basic understanding of patent law, including drafting and claims construction, freedom-to-operate analysis, patent application maintenance, and IP due diligence. A strong IP strategist with a comprehensive IP skill set and experience across filing, prosecution, licensing, contracts and litigation is preferred.
