We are seeking an experienced and result-oriented legal M&A advisor interested in assisting us in realizing our corporate strategic agenda through M&A.
As our Group Senior Legal Counsel for M&A, you will contribute to the implementation of complex M&A transactions and strategic projects across our three organizational divisions: Hearing, Enterprise, and Gaming.
You will be involved throughout the deal cycle – from initial consideration to closing and post-closing integration. You will be exposed to wide-ranging deal types and structures from minority positions in start-ups and scale-ups to larger scale bolt-on and transformational acquisitions.
The team you will be part of
As our new Group Senior Legal Counsel, you will be based at our global HQ located in Ballerup, Denmark and report to Lead Legal Counsel, Christina Vesterholm.
You will be part of Group Legal which supports the whole GN Group world-wide with all legal matters, intellectual property rights, and data privacy. The legal function consists of 15 professionals in Ballerup and 3 professionals in the US.
As our new Group Senior Legal Counsel for M&A, you will become part of a specialized team in Group Legal primarily focusing on M&A, financing, capital markets matters, and corporate governance. You will work closely with GN’s M&A team consisting of 5 M&A advisors with financial backgrounds.

Supporting the M&A strategy of the GN Group

As our Group Senior Legal Counsel for M&A, you will be responsible for ensuring complex M&A transactions globally with emphasis on the following tasks:

• Independently drive all legal aspects of M&A transactions from initiation to completion, including coordinating and sparring with Group M&A on deal strategy
• Negotiate transaction documents balancing legal risks and commercial needs
• Weigh in on structing considerations
• Conduct legal analysis and legal due diligence, including instruct, review and communicate to internal stakeholders input from external legal counsel
• Manage external legal counsels
• Be an engaged legal business partner to Group M&A and collaborate with cross-functional teams
• From time to time advise on non-M&A legal matters

To thrive in the role, we imagine that you:

• Hold a master’s degree in law (a Danish Cand.Jur.or Cand.Merc.Jur could be beneficial).
• Have solid experience with all legal aspects of M&A and can independently drive the legal side of M&A transactions.
• Have a pragmatic approach to problem-solving and are willing to consider various options.
• Display a resolute, forward-thinking, accountable and solution-oriented approach to your work.
• Have a structured approach, service-oriented mindset and ability to manage multiple cases shines through whether you are working with own assignments or are collaborating within your team.
• Communicate fluently in written and spoken English and Danish.
