Your opportunity
You will provide the full range of corporate secretarial and governance support to UK regulated entity boards in the Group. This is a role operating at all levels of the Group, including liaison with Executive & Non-Executive Directors and Senior Management.
You will report directly to the Head of Corporate Secretariat and will be part of a high-performing and well-regarded team comprising of two Company Secretaries and one other Assistant Company Secretary.

Duties include:

  • Providing the full range of corporate secretarial support services, including in relation to UK regulated entity boards and committees in the Group, as needed.
  • Preparing agendas for board and committee meetings, attending meetings, preparing minutes, managing minute reviews and following up action items.
  • Liaising with management regarding the provision and content of board papers.
  • Providing corporate governance advice and support to the business, to ensure that the firm’s boards (and committees) are operating effectively and in accordance with best practice from a corporate governance perspective.
  • Partnering with the Head of Secretariat and other members of the team on governance initiatives, including representing the team on projects being undertaken at the firm and driving the implementation of changes where required.
  • Managing certain governance process for the team, including quarterly reviews of authorised signatory lists.
  • Managing and responding to KYC and other information requests.
  • Assisting with the identification and implementation of process improvements for the team.
  • Carrying out other duties as assigned.

Must have skills

  • Experience of working in a company secretarial/governance role
  • Minute taking experience
  • Knowledge of board processes and procedures
  • Excellent verbal and written communication skills
  • Ability to follow complex instructions and processes
  • Strong interpersonal skills, including ability to work with cross-functional teams
  • Strong organisational skills
  • Strong attention to detail

Nice to have skills

  • Relevant Company Secretarial qualifications
  • Knowledge of relevant company law and company secretarial requirements (English law requirements)
  • Background and experience within financial services
