The Procurement & Contracts Manager will be responsible for managing agreements with various business partners, improving contracting processes, and increasing efficiency. In addition, the role includes supporting the implementation and operation of a potential new Contract Lifecycle Management (CLM) system. This is an outstanding opportunity to join a new contract management team and make a significant impact in a collaborative, high-growth environment. The role is based in Warsaw, Poland, within the Moderna Enterprise Solutions Hub.
Here’s What You’ll Do:Your key responsibilities will be:
Manage daily incoming contract requests, acting with urgency to assign contracts for review by Legal, track matters, and coordinate the signature process.
Pursue options in parallel while managing contract development through all lifecycle stages (drafting, revision, approval, filing, and distribution).
Evaluate records for retention, ensuring compliance with company policies, and challenge conventional practices to seek innovative solutions.
Work collaboratively with Procurement Category Management to ensure that Procurement strategy and negotiated content are included in contracts.
Build and maintain strategic relationships with stakeholders, balancing immediate needs and long-term goals while reflecting Moderna’s commitment to acting like owners and delivering solutions.

Responsibilities:

YOUR RESPONSIBILITIES WILL ALSO INCLUDE:

Communicate with internal and external parties to obtain and exchange information and legal documents related to contracting and approval processes.
Foster strong relationships with internal stakeholders and coordinate contracting and reporting requirements.
Implement best practices for contract administration, leveraging a CLM tool and embracing digital solutions wherever possible.
Review, draft, and edit a wide range of commercial contracts, ensuring you remain current on legal and business requirements in this fast-moving environment.
Maintain and enhance templates for various contract types, including Confidential Disclosure Agreements, Master Service Agreements, Consulting Agreements, and Clinical Trial Agreements.
Develop and deliver training materials on contracting processes for company employees, ensuring staff are equipped to act with ownership and accountability.

THE KEY MODERNA MINDSETS YOU’LL NEED TO SUCCEED IN THE ROLE:

Pursue options in parallel: You’ll manage multiple contract development processes simultaneously, ensuring that all options are explored to maximize efficiency and compliance.
Act with urgency: In this fast-paced role, you’ll be required to handle contract requests quickly and efficiently, ensuring that Legal and Procurement processes are not delayed.
Here’s What You’ll Need (Minimum Qualifications)
Minimum 6 years of experience negotiating, drafting, and finalizing a variety of commercial contracts and/or sales agreements
Bachelor’s degree required; demonstrated experience may be substituted for the educational requirements Knowledge of legal and commercial terms and concepts and familiarity with basic business contracts
Knowledge of Formal and informal competitive bidding principles and processes and legal requirements
Here’s What You’ll Bring to the Table (Preferred Qualifications)
Paralegal degree or certification preferred
Developing and/or managing contracts, including tracking documents through the contracting lifecycle, contract compliance items, and keeping organized records
Able to work independently and as part of a high functioning team in a fast-paced environment
Sound reasoning skills, excellent problem-solving skills, and ethical judgment within broadly defined practices and policies
Organizational skills and high level of attention to detail
Experience working at a life sciences or medical company preferred but not required
Familiarity with CLM’s, Agiloft, MS Word, Excel, SharePoint, PowerPoint, and Outlook
Working independently with general guidance from supervisor
Making decisions and exercising good judgment; demonstrating political astuteness
Maintaining poise while dealing with people in difficult situations; exercising tact and diplomacy; always interacting in a professional and courteous manner
Maintaining confidentiality of all matters
