Description:
apoQlar GmbH ("apoQlar”) specializes in innovative medical technology and software solutions aimed at improving diagnostic accuracy and patient care through advanced visualization techniques. Our flagship product, VSI HoloMedicine® (HM), transforms medical imaging data into a 3D holographic experience, enhancing surgical planning and intraoperative procedures. In addition, we are developing a platform for professional education and collaboration in the medical sector.

The objective of this engagement is to manage and execute the Extension Round / Series B (to be determined) capital raising process for apoQlar GmbH ("apoQlar"). The contractor will ensure that the process is conducted efficiently, with a focus on securing the required capital while maintaining alignment with the company’s strategic goals.
1. Scope of Services
The contractor will be responsible for the following tasks:
1.1 Capital Raising Strategy
- Collaborate with the leadership team to finalize the capital raising strategy, including target investor profiles, fundraising goals, and timeline.
- Identify potential investors, including venture capital firms, institutional investors, and strategic partners.
1.2 Messaging & Pitch Development
- Work closely with the leadership team to refine the company’s narrative and investment thesis.
- Derive and shape the pitch book, ensuring it effectively communicates the company’s value proposition, growth potential, and financials.
- Coordinate with internal/external resources for the creation of the pitch book and any supplementary materials.
1.3 Investor Outreach & Relationship Management
- Conduct initial outreach to potential investors, including cold outreach and leveraging existing relationships.
- Organize and manage meetings between company leadership and potential investors.
- Serve as the primary point of contact for investor inquiries and requests, ensuring prompt and accurate responses.
- Track investor interest and feedback, reporting back to the leadership team regularly.
1.4 Project Management
- Create and maintain a detailed project plan for the entire capital raising process, including key milestones, deliverables, and deadlines.
- Monitor the progress of the capital raise, ensuring adherence to the timeline.
- Coordinate internal resources and manage tasks related to the capital raise, ensuring all activities are aligned and deadlines are met.
1.5 Data Room Management
- Set up and manage a secure data room containing all necessary documents for investor due diligence.
- Coordinate the collection, organization, and updating of all required documents, including financials, legal agreements, and company presentations.
- Manage and respond to investor data requests, ensuring confidentiality and data security.
1.6 Reporting & Communication
- Provide regular updates to the leadership team on the status of the capital raising process, including investor feedback, potential issues, and progress towards goals.
- Facilitate regular meetings with the leadership team to review progress and adjust strategies as necessary.
- Prepare and deliver a final report summarizing the process, outcomes, and key learnings at the conclusion of the engagement.
- Requirements
The contractor needs to fulfill the following requirements:
- Significant experience in conducting funding rounds, representing clients in funding rounds and creating pitch decks & materials.
- Proven record of strong funding related story telling and pitch design skills.
- Ability to support and provide advice to Founders.
- Familiarity with technical aspects related to software and medical devices is highly desirable.
- Prior experience with SaaS/Medical Device as a Service (MDaaS) and/or XR/AR applications is highly desired.

- Comprehensive project plan with timelines and milestones.
- Refined pitch book and any supplementary materials.
- Investor outreach and engagement tracking report.
- Secure data room setup with all required documentation.
Regular status updates and a final summary report.

The engagement will begin latest on the 15th Sep-24 and conclude between December 2024 and January 2025, covering a period of three months. Key milestones and deadlines will be established in the initial project plan.

Remuneration will preferably be paid on a retainer base accompanied by a success fee. - Access & Collaboration
The contractor will have full access to the leadership team and relevant internal stakeholders to ensure alignment and collaboration. Presentation support, including design and content creation, will be available as needed
